Sr. Paralegal, Corporate Services

Our valued law firm client is seeking a Sr. Corporate Paralegal for a full-time position, supporting their Corporate Services department.

The Paralegal works closely with a team of Corporate Clerks and assists Calgary Legal Professionals in providing billable legal services to the Firm’s clients, handles routine administrative matters associated with maintaining a corporation’s corporate records and registrations including completing forms and preparing documents for review by Legal Professionals.

Primary Responsibilities:

  • Work with internal stakeholders to assist with drafting of corporate documents relating to incorporations, organizations, amalgamations, arrangements, amendments, continuances, extra-provincial registrations and complex corporate reorganizations
  • Draft various documentation, including resolutions, agreements and prescribed forms for various jurisdictions, in accordance with legislation and/or governing regulations ensuring that each action on the file conforms to the governing statutes and regulations
  • File management, preparation of closing agendas, track deliverables and key dates; provide timely updates throughout transactions
  • Complex minute book due diligence and analysis and drafting ratification documents
  • Working with internal stakeholders on various corporate structures relating, but not limited to Alberta, Federal corporations, societies, extra-provincial corporations, and limited partnerships
  • Manage and maintain corporate database
  • Annual compliance and supporting day-to-day functions of the corporate services department

Position Requirements

This position requires a College Law Clerk Certificate, plus a minimum of six years of relevant experience in a Corporate Law practice. An equivalent combination of education, training and experience may be acceptable.

  • 6+ years of relevant paralegal experience, preferably within a law firm corporate records department
  • CORES Level III Accreditation required
  • Exceptional attention to detail and resourcefulness
  • Exceptional written and verbal communication skills
  • Must be an analytical thinker, have excellent interpersonal skills and be able to work successfully and collaboratively independently and with all team members
  • Strong organizational and project management skills, with the ability to prioritize and organize multiple concurrent assignments and perform effectively under pressure in a dynamic and fast-paced environment
  • Experience working with corporate records software and data sharing platforms
