What we are looking for:

Fiera Private Alternative Investments (FPAI) is a division of Fiera Capital Corporation that operates different business lines and private market investment strategies, namely infrastructure, real estate, private credit, agriculture, private equity and other private investment strategies. It manages capital for numerous institutional and private investors from different countries around the globe. The business currently has over $14 billion of assets under management.

Reporting to the Vice President and General Counsel, the Director, Legal Affairs will be a key contributing member of the legal team and provide high quality legal advice, guidance and services to different FPAI investment platforms all over the world.

Your responsibilities:

Within the framework of his/her role, the Director will be required to:

  • Provide high quality advice on a broad range of legal matters pertaining to private alternative investment funds and strategies, including the formation, management and distribution of private investment funds in various jurisdictions across the globe;
  • Draft and negotiate key documentation relating to private alternative investment funds and strategies, including limited partnership agreements, side letters, management agreements, administration agreements, distribution agreements, offering memoranda and marketing materials;
  • Assist the General Counsel in respect of strategic transactions (including mergers and acquisitions, joint ventures and reorganizations) and general corporate matters;
  • Assist the General Counsel in respect of corporate governance matters relating to the various Boards of Directors and Investment Committees of different investment platforms;
  • Effectively manage outside law firms in various jurisdictions and find opportunities to make legal processes more efficient and cost effective.
  • Assist investment platforms with: (a) their investment transactions, which support may include due diligence activities, transaction structuring and the drafting of definitive agreements, and coordination with external counsel; and (b) the management of legal matters related to their portfolio companies and subsidiaries, including developing familiarity with relevant credit facilities;
  • Assist investment platforms with regulatory compliance and the implementation and administration of core policies and procedures (e.g. compliance, AML/KYC, conflicts of interests, etc.) for the division and its various investment platforms; keeping abreast of regulatory developments in various jurisdictions across the globe and liaising with respective policy makers at Fiera Capital Corporation;
  • Assist investment platforms with capital-raising activities and onboarding of investors.

Must have requirements to be successful in this role:

  • Between 5-8 years’ experience in private practice and/or in-house, with experience in private equity, private credit and/or private investment asset management;
  • Called to the Ontario Bar or another Canadian jurisdiction;
  • Experience in fund formation would be an asset;
  • Proven legal and business judgment with an orientation to finding creative solutions and possesses a consistent “can do” attitude;
  • Desire and ability to work in a fast-paced environment, to meet stringent timelines, and to handle multiple demands simultaneously;
  • Strong interpersonal skills and the ability to work with a wide range of people with varying degrees of legal knowledge;
  • Excellent spoken and written communication skills in English. Spoken and written communication skills in French would be an asset;
  • Some international travel may be required.
