This is an exciting opportunity to join UHN as Legal Counsel (Technology & Privacy, Corporate/Commercial).


UHN is seeking a strategic and results-oriented Technology and Corporate/Commercial lawyer to join its Legal Affairs Department. Aligned with the Hospital’s strategic direction, the candidate will provide a full spectrum of legal services across the organization with an emphasis on IT and corporate/commercial services within a public hospital regulatory regime, enabling the delivery of outstanding health care. The Legal Counsel will support Legal Affairs in maintaining and monitoring the legal and contractual obligations of the hospital and the administrative/clinical departments; performing legal and reputational risk management activities; performing commercial transaction/documentary review responsibilities; performing legal research/education responsibilities; performing committee responsibilities; performing cross-functional and other responsibilities as assigned and/or requested. The Legal Counsel will support UHN Digital (UHN’s Information Management & Technology Department), UHN Privacy Office, and other departments to draft, negotiate and review corporate/commercial legal agreements. The Legal Counsel often serves as the first point of contact for Managers, Directors and Senior Management on a variety of legal issues.


  • Drafts, negotiates and reviews contracts and commercial transactional and related documents with a focus on corporate/commercial matters, including procurement, information technology, privacy and intellectual property law
  • Works closely with VPs, directors and managers, and in particular, with UHN’s IT and Privacy departments to support their contract requirements with vendors and other hospitals
  • Identifies areas of potential legal and statutory risks, determines acceptable levels of risk, and makes recommendations to ensure clients take appropriate measures to manage risk in their contractual and other arrangements
  • Advises proactively as a litigation avoidance strategy, and mediates contract management issues involving third parties (e.g., other hospitals, MOHLTC, TCLHIN, vendors, donors, educational institutions, )
  • Consults with/refers to internal/external resources as required (including government officials, professional regulatory bodies, external counsel, )
  • Determines where other expertise is required to complete tasks and collaborates with department on such interactions (e.g., Security, Procurement, Privacy, Medical Affairs, Finance, )
  • Identifies and reports relevant findings to appropriate managerial staff
  • Provides in-service training to staff on relevant and changing legal and regulatory matters
  • Supervises law students and delegates where necessary to legal professionals assisting the practice group
  • Participates in committee meetings as required


  • Bachelor’s Degree in Law or recognized equivalent, and member in good standing with the Law Society of Upper Canada
  • A minimum of four (4) years of practical and directly related experience
  • Experience drafting, structuring and negotiating complex commercial agreements, including software and systems development and licensing agreements, and advising on matters related to data protection and privacy and a broad range of digital initiatives
  • A breadth and depth of technical legal knowledge, excellent business judgment, and strong analytical and drafting skills
  • Familiarity with online technologies, including cloud computing, and related regulatory issues
  • Proven collaborative planning skills in an evolving and fast-paced environment
  • Knowledge of the role of hospital policies, procedures and protocols, as well as public procurement
  • High proficiency of applicable legislation in varied areas of law, including technology, e-commerce, and privacy
  • Fairness, openness, patience and a high level of integrity and judgment
  • Excellent verbal and written communication skills required; ability to translate complex regulatory standards into material that can be understood by a functionally diverse audience
  • Excellent client service, interpersonal and diplomacy skills, strong initiative, and the ability to work well with a variety of stakeholders
  • Excellent organizational and time management skills required to handle competing and simultaneous priorities with deadline pressure
  • Excellent analytical and problem-solving skills with the ability to analyze legal risk in the context of business realities
  • Curiosity and Eagerness to learn areas about new areas and technological developments
  • Experience in a regulatory setting strongly preferred
