About the role
Job Description
What is the opportunity?
As Counsel, you will be a key member of RBC's Procurement Legal Team. You will provide advice and guidance to Royal Bank of Canada and its subsidiaries with respect to third party transactions, with an emphasis on technology and other related intellectual property licensing transactions. You will also provide advice to business and functional partners on contract interpretation, legal risks and mitigation strategies associated with third party transactions.
What will you do?
- Advise RBC and its subsidiaries with respect to structuring and documenting complex third-party transactions involving technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS and data license agreements, cloud services, professional services, outsourcing arrangements, telecom arrangements, subscription and market data service agreements, etc.);
- Provide strategic legal advice and assistance to business and functional partners involving third party transactions and contracts (i.e. structuring; strategy; contract negotiation, drafting and management, contract interpretation, etc.);
- Advise business and functional units on contract interpretation, legal risks and mitigation strategies associated with third party contracts, and general supplier engagement and relationship issues, among other issues;
- Draft, review and negotiate supply arrangements with third party vendors;
- Provide training and guidance to business and functional partners on legal templates and issues;
- Perform legal research and draft memoranda of law, as required;
- Assist in the development and ongoing refinement of RBC’s third party templates; and
- Perform/assist on special projects as needed.
What do you need to succeed?
Must-have
- Law degree (LLB or JD) from a recognized law school;
- 3+ years’ experience in corporate commercial contract drafting and negotiating at a top tier law firm or major corporation;
- Strong foundational knowledge of substantive third-party commercial laws and terms (e.g., confidentiality; indemnities; limitations of liability; intellectual property) and financial services laws as they relate to third parties (e.g., privacy/cybersecurity, anti-money laundering, consumer banking); and
- Ability to analyze legal risk in context of business realities, sound judgement and interpersonal skills
Nice-to-have
- In-house experience at a large, multi-national bank or diversified financial institution;
- Strong communication skills (written and verbal) and ability to build relationships across multiple areas of the business;
- Ability to work with a high degree of autonomy, handle large volumes of work and balance competing demands; and
- Continuous improvement mindset
