About :
As part of the Operations Department, the Structured Transactions Team oversee the most complex financing transactions such as Aircraft finance, Syndication Agreements, ABL, Revolving Loans, Private Credit and Refinancing to name a few. As the main contact between the Account Managers and Internal/External Legal Counsel, the Paralegal is leading major files from the documentation up to closing, overseeing the mandates we give to our external counsel and supporting the business in its diversification and growth.
Responsibilities:
- Collaborate closely with account managers, credit and legal departments so that the structured documentation process (from document creation to funding) runs smoothly.
- Draft Legal Mandates and present for approval to our Legal Department.
- Act as the Matter Responsible Contact between the organization and our External lawyers on specific legal Matters such as projects, agreements negotiation or structured transactions.
- Assist our External Law Firms in the implementation of a new e-billing system for legal invoices management
- Register PPSA/RDPRM filings within the parameter of each Province’s regulations
- Work with credit/legal counsel to ensure all conditions have been met prior to funding.
- Support the Documentation Management Coordinator by reviewing the language drafted for new and amended forms required for specific transactions needs to ensure legal compliance.
- Pull and review lien searches as required and prepare any cession or rank, subordination or releases as needed
- Carry out the usual verifications to ensure data compliance for Structured Transactions
- Perform final contract validation according to internal company policies and forward payment instructions to accounting for disbursement;
- Providing coaching and feedback to the Account managers when validating their submissions to optimize the efficiency of the structured documentation process.
- Manage expectations and priorities with internal partners.
- Assisting in preparation and updates to Policies & Procedures documentation as required
- Assisting in the onboarding of new Assignment Partnership and validation of underlying purchased transactions ensuring a collaboration with management, legal and sales.
- Provide ongoing support to our internal/external partners and credit on various issues that may arise.
- Any other related tasks that may fall under this position
The profile we are looking for:
Education and Experience:
- Law Degree and/or
- 10+ years experience in Equipment/Commercial Finance
Knowledge, Skills, and Abilities:
- Bilingual (English and French) in order to serve clients all across Canada;
- Strong verbal and written communication skills.
- Must show evidence of initiative, proactivity, and ability to work collaboratively and independently.
- Ability to prioritize, multi-task, take initiative.
- Capability to exercise sound judgement and make decisions
- Excellent human relations, interpersonal and organizational skills required.
- Advanced computer skills and demonstrating experience with office software and email applications.
- Ability to develop others
