Job Details Primary Duties And Responsibilities

  • Ensures timely contract review to meet the needs of the business units;
  • Prepares, reviews and interprets contracts for adequacy, appropriateness and completeness in terms of indemnity, liability, confidentiality, intellectual property, payment terms, and any other applicable issues that may pose legal or business risk, confirming that all Innomar/ABC processes and requirements are adhered to;
  • Explain the impact of the legal terms and conditions to managers, directors, senior management and/or other interested parties as part of an organized and thorough routing, review and approval process;
  • Interact with clients and vendors as appropriate
  • Negotiates contracts and subcontracts
  • Gather and maintain approvals for applicable contracts
  • Coordinate all contract execution
  • Escalate any concerns, needs to the legal group. Work clearly in defined process and adhere to Corporate Legal process
  • In collaboration with the procurement team and legal group, modifies, and evaluates template contracts and other tools designed to standardize and simplify the contracting process;
  • Work with all functional corporate, divisional and regional subject matter experts (Business Units, Operations, Legal, Finance, and IT) to provide content and context response integrity for consistency, reliability and most up-to-data material used in responses to customer requests for contracts, information requests and presentations as applicable.
  • Works with performance-based compliance tools, reports and scorecard to provide the organization with information on compliance monitoring and contract performance.
  • Manages and resolves content and context inconsistencies to keep relevant and dynamic flow of information to meet requirements of all incoming contracts, bids, requests for information and request for proposals and pertinent pricing structures.
  • Ensures that they adhere and follow all ABC and Innomar legal requirements as well as follow the legal and financial SOPs and training to ensure they are familiar and knowledgeable about Innomar’s internal process.
  • Provides the "order entry" function as it relates to executed agreements.
  • Works with and assists with the development of content library loading process in the corporate database programs.
  • Must be willing to do minimal travel as required.
  • Performs related duties as assigned.

Experience And Educational Requirements

  • Requires training and understanding in fields such as business administration, accountancy, legal, sales, marketing, computer sciences or similar vocations generally obtained through completion of a four year
  • Bachelor's Degree Program or comparable on the job training and work responsibilities in administrative duties; requires direct experience in contracting environment of at least three - five (3-5) years.

Minimum Skills, Knowledge And Ability Requirements

  • Understands the legal and health system trends and operating assumptions
  • Legal background - 1 to 2 years work experience as law clerk/training/certification preferred but not required
  • Works independently and can confidently manage negotiations
  • Providing advice to Operations and staff to drive performance, compliance of contracts
  • Experience in drafting and reviewing contracts
  • Analytical skills relative to contract information and related matters
  • Excellent organizational skills
  • Ability to balance business objectives and opportunities against legal and other risk/requirements
  • “Can do” attitude and customer-service orientation
  • Keen attention to detail, with an ability to spot issues and/or errors
  • Ability to multi-task; strong time-management skills and a proven ability to work efficiently
  • Ability to thrive in a high-pressure environment; comfortable working with tight deadlines
  • Strong presentation and communication skills
  • Excellent integration and implementation skills
  • Excellent internal skills
  • Working knowledge of computers and software programs necessary to operate effectively with company systems and programs, especially Excel.
