Reporting to the Chief Executive Officer, as Corporate Counsel you will provide legal expertise and services to support Hopewell Residential’s business units. You will advise and counsel multiple areas of corporate, commercial and real estate law and will support both single family and multi family residential development.
Responsibilities:
Construction & Commercial Contracting
- Draft and negotiate construction contracts (including CCDC agreements), consultant agreements, trade and supplier contracts, and non‑standard commercial agreements.
- Prepare term sheets and draft and negotiate development management agreements.
Financing & Internal Transactions
- Support project‑level and corporate financings, refinancings, amendments, intercompany arrangements, internal loans, promissory notes, and distributions.
Corporate & Governance
- Assist with entity formation, limited partnerships, restructurings, partner buy‑outs, management agreements, and ongoing corporate governance.
Land & Development
- Support land acquisitions, dispositions, and development‑related agreements
- Oversee legal aspects of builder lot sales and transfers.
Residential Sales & Closings
- Lead legal support for single‑family and multi‑family sales, including purchase agreements, amendments, closing issues, and post‑closing matters.
Multi‑Family & Condominium Projects
- Advise on multi‑family developments from pre‑sales through to completion and turnover, including purchase agreements, disclosure documentation, and project launches.
Homeowner, Warranty & Risk Management
- Advise on homeowner and warranty issues and manage disputes prior to litigation.
- Oversee litigation and claims with external counsel where required.
Employment, Privacy & Compliance:
- Support compliance with privacy laws and FINTRAC requirements.
- Assist with employment related legal matters.
External Counsel & Legal Operations

Manage external counsel and oversee legal workflows and support resources.

Monitor legislative changes impacting the industry.

Support other legal and business matters as required.
Qualifications:

4-7 years of experience in corporate/commercial law with meaningful exposure to residential real estate development, conveyancing and financing

B. or J.D. from an accredited law school

Member in good standing with the Law Society of Alberta

Significant exposure and experience with general principles of contract negotiation and drafting
-
Comfort with diverse types of corporate structures and organizational agreements, primarily corporations and limited partnerships

Strong business acumen with an understanding of corporate and operational functions
-
Advanced analytical, problem solving, critical thinking and decision making capabilities
-
Quick to develop relationships and ability to work with a broad range of personalities;

Manage conflicting priorities and ability to work on multiple projects with tight deadlines;

Self-starter and ability to work independently;

Proven ability to provide pragmatic, commercially aligned legal advice
Working Conditions:
- Traditional core office hours are Monday to Friday 8:00am to 5:00pm. Work may require occasional weekends and/or evenings. Periodic travel may be required.
