About the role
About the Company Our client, a leading full-service law firm, is seeking a Senior Corporate Law Clerk to join their team.
Responsibilities Manage and maintain corporate records and minute books for federal, provincial, and extra-provincial entities Prepare and file corporate documents relating to incorporations, amendments, amalgamations, continuances, dissolutions, and reorganizations Support complex corporate transactions, including mergers and acquisitions, financings, and corporate restructurings Conduct due diligence reviews and prepare corporate summaries and reports Coordinate annual maintenance and regulatory compliance requirements Assist lawyers and clients with corporate governance matters Conduct corporate, PPSA, and other relevant searches Liaise directly with clients, government agencies, and external service providers Mentor and provide guidance to junior clerks and team members as appropriate
Requirements 8+ years of experience as a Corporate Law Clerk in a law firm environment Strong knowledge of Ontario and federal corporate law and filing requirements Experience supporting sophisticated corporate transactions Securities law experience is considered a strong asset Excellent organizational skills and attention to detail Ability to manage multiple priorities and deadlines in a fast-paced environment Strong written and verbal communication skills Proficiency with corporate database and document management systems Ability to work independently while collaborating effectively with lawyers and support staff
Compensation Salary up to $140,000, commensurate with experience Comprehensive benefits package, including RRSP matching Hybrid work arrangement (3 days in-office) Exposure to sophisticated corporate and transactional matters Collaborative and collegial team environment Opportunities for professional development and career advancement
