Your Opportunity

BDO Law LLP is seeking an experienced junior M&A lawyer to join our growing transactional practice. This is an opportunity to work within a highly collaborative alternative legal services environment, advising sophisticated clients on complex domestic and cross-border transactions alongside a multidisciplinary professional services team. You will play a central role in executing transactions, managing workstreams, and contributing meaningfully to client strategy and delivery. This is for existing vacancy where the successful candidate will own the following responsibilities:

  • Lead key workstreams in M&A transactions , including share and asset acquisitions, divestitures, management buyouts, minority investments, and cross-border transactions
  • Draft, review, and negotiate principal transaction documents , including purchase and sale agreements, shareholders’ agreements, subscription agreements, joint venture agreements, disclosure schedules, and ancillary closing documentation
  • Coordinate and manage due diligence processes , including supervising data room reviews, identifying material risks, and translating findings into actionable advice and deal protections
  • Advise on transaction structuring considerations , including tax-driven reorganizations, pre-closing restructurings, and post-closing integration matters
  • Support debt and equity financing transactions , including private placements and lender-side or borrower-side documentation
  • Provide pragmatic advice on corporate governance matters arising in transactional and post-closing contexts
  • Manage transaction timelines, closing mechanics, and stakeholder coordination , including accountants, tax advisors, and internal BDO professionals
  • Supervise and mentor junior associates and corporate law clerks , ensuring high-quality and efficient work product
  • Contribute to client relationship management and proposal development , including scoping mandates, budgeting, and staffing
  • Build and maintain strong internal relationships across BDO Canada’s service lines , supporting integrated client solutions

Your Experience and Qualifications

  • Member in good standing with the Law Society in your relevant jurisdiction
  • 3–6 years of focused experience in mergers and acquisitions and corporate transactions at a recognized law firm
  • Demonstrated experience drafting and negotiating transaction documents with increasing autonomy
  • Strong understanding of transactional due diligence processes and risk allocation mechanics
  • Exposure to cross-border transactions and/or tax-driven reorganizations is an asset
  • Excellent drafting skills with strong attention to precision, structure, and clarity
  • Commercially minded with the ability to balance legal risk with business objectives
  • Strong organizational skills and ability to manage multiple concurrent transactions
  • Highly collaborative and comfortable working within cross-functional teams

The expected range of compensation for this role is: $110,000 - $160,000
