Who You Are

You’re a strategic, entrepreneurial legal mind with a passion for reshaping Canada’s financial future through digital assets. As our In-House Legal Counsel, you’ll be a pivotal force in Tetra’s scale-up journey, navigating complex regulatory landscapes and forging ironclad partnerships with industry giants like ATB Financial, National Bank, Shopify, and Wealthsimple. What You’ll Be Doing

  • Regulatory Strategy & Compliance: Lead legal efforts to ensure compliance with Canadian financial regulations (e.g., FINTRAC, OSFI, CSA) and international standards (e.g., FATF, GDPR) for Tetra’s stablecoin, custody, and Tetra Unity software operations. Spearhead regulatory filings and advocacy to support innovative products in a complex, evolving ecosystem.
  • Strategic Partnership Management: Draft and negotiate high-stakes commercial agreements (e.g., MSAs, licensing agreements, NDAs) with major financial institutions and fintech partners, ensuring alignment with business goals and regulatory requirements. Manage legal aspects of strategic investments and due diligence for our future funding rounds.
  • Corporate Governance: Oversee corporate governance under the Canada Business Corporations Act (CBCA), maintaining records, board minutes, and resolutions. Advise executives and the board on fiduciary duties, risk mitigation, and corporate structuring for Tetra Digital Group and its subsidiaries.
  • Contract Lifecycle Management: Develop and streamline contract management processes, leveraging legal tech tools to draft, review, and execute agreements that drive partnerships with banks, fintechs, and vendors. Ensure contracts reflect Tetra’s innovative vision and compliance standards.
  • Risk Management & Advisory: Provide proactive legal guidance on cybersecurity, data privacy (PIPEDA/GDPR), AML/KYC, and IP protection for Tetra’s $2.5B+ custody operations and software offerings. Conduct risk assessments to safeguard growth in a high-risk fintech landscape.
  • External Stakeholder Engagement: Serve as the primary legal point of contact for regulators (e.g., FINTRAC, OSFI, Privacy Commissioners), external law firms, and security auditors (e.g., SOC 2, ISO 27001). Collaborate with financial institutions’ legal teams to align on compliance and risk frameworks.
  • Strategic Legal Leadership: Partner with the CEO and Leadership to shape legal strategies that support fundraising, M&A, and global expansion. Provide actionable advice on IP, employment law, and cross-border transactions to fuel Tetra’s multi-jurisdictional growth.
  • Process Innovation: Implement legal tech solutions (e.g., contract management systems) to enhance efficiency and scalability. Mentor future legal team members as Tetra’s legal function grows.

What We’re Looking For

Education:

  • Juris Doctor (JD) or equivalent law degree from an accredited Canadian institution. Licensed to practice law in Ontario or Alberta. An MBA or certification in fintech/compliance (e.g., CAMS) is a strong asset.

Work Experience:

  • 5-8+ years of post-call experience, with at least 2 years in-house at a fintech, financial services, or technology scale-up, or in private practice focused on corporate/commercial law.
  • Proven expertise in drafting and negotiating complex commercial agreements with banks, insurers, or fintechs, ideally in digital assets or blockchain.
  • Strong background in Canadian financial regulations (e.g., FINTRAC, OSFI, CSA) and data privacy laws (PIPEDA, GDPR).
  • Experience managing regulatory filings, corporate governance, or cross-border transactions in high-growth environments.
  • Familiarity with cybersecurity compliance (e.g., SOC 2, ISO 27001) and vendor risk management is a plus.

  • Strategic thinker with the ability to translate complex legal and regulatory concepts into actionable business strategies.

  • Outstanding communication skills to influence executives, regulators, and partners with clarity and confidence.
  • Deep understanding of fintech ecosystems, including stablecoins, digital custody, and DeFi.
  • High integrity, sound judgment, and a collaborative mindset to work cross-functionally with product, compliance, and BD teams.

Technical Skills:

  • Familiarity with blockchain analytics (e.g., Chainalysis) and contract lifecycle management systems.
  • Basic knowledge of financial modeling or data analytics tools (e.g., Excel, Tableau) is a plus.

*Nice to Have: French/English bilingualism for federal advocacy. Experience in international markets or cross-border transactions.
