About the role
Headquartered in Toronto, the Building Ontario Fund (BOF) is a new independent, board-governed agency that will facilitate investment by trusted institutional investors in critically needed large-scale infrastructure projects within the province.
The agency’s mandate is to invest in, and seek to attract investment from, qualified institutional investors, public sector entities, governments, and Indigenous communities in Ontario infrastructure projects that will generate revenue and are in the public’s interest. BOF will do this by:
- Investing in infrastructure and appropriately allocating risks amongst the Corporation and other investors
- Structuring proposals and negotiating agreements with investors in infrastructure projects
- Receiving and assessing unsolicited ideas and proposals for infrastructure
- Providing advisory services with respect to financing infrastructure projects
Reporting to the Chief Financial Officer, BOF is seeking a permanent full-time Head, Investment Finance to fill an existing vacancy and take on the following responsibilities:
Portfolio Oversight & Strategic Leadership
- Establish and lead the Investment Finance function, providing strategic direction and oversight of loan administration, compliance, and equity investment performance management. Lead the post-close management of the corporation’s infrastructure investment portfolio.
- Act as a strategic partner to the investment team by providing advice and guidance during the deal structuring phase on matters that may impact post-close administration and compliance management.
- Ensure alignment of investment finance operations with BOF’s mandate, risk appetite, and organizational objectives.
- Serve as a trusted advisor to the CFO and senior leadership on portfolio performance, emerging risks, and opportunities.
- Oversee the development and implementation of post-close monitoring frameworks, performance metrics, and risk management processes for investments across multiple asset classes and sectors.
Governance, Compliance and Risk Management
- Establish governance and compliance frameworks to guide investment finance operations, including policies, procedures, and internal controls that support strong governance and compliance with provincial directives.
- Oversee the monitoring of borrower and investee compliance with financing agreements, covenants, and reporting obligations.
- Ensure accurate, timely, and transparent reporting to senior management, Board Committees, the Ministry of Finance, auditors, and other stakeholders.
- Monitor project milestones, operational performance, and financial covenants to identify and proactively address potential breaches or risks.
- Collaborate with legal, investment, finance, and risk management teams to resolve contractual disputes, negotiate amendments, and manage default scenarios.
Funding, Repayments, and Portfolio Stewardship
- Oversee all funding, repayment, and debt service activities, ensuring accuracy, timeliness, and compliance with agreements.
- Provide leadership on cash flow forecasting, repayment analysis, and loan valuation allowances.
- Collaborate with Finance on accounting treatment, wire transfers, and reconciliation of investment-related transactions.
Data, Systems, and Process Excellence
- Oversee the development and maintenance of investment finance systems, data repositories, and reporting tools to ensure accuracy and efficiency.
- Develop and manage investment and financing performance dashboards and KPIs to keep internal stakeholders informed of project progress and to generate insights that support future financing decisions.
- Drive continuous improvement in investment finance processes, including the adoption of technology solutions for loan administration and compliance tracking.
- Ensure reliable, consistent, and high-quality data is available for internal and external reporting.
Stakeholder Engagement
- Build and maintain strong relationships with borrowers, investors, lender technical advisors, government representatives, and other transaction counterparties.
- Represent Investment Finance in cross-functional initiatives, external engagements, and industry forums related to infrastructure investment.
Team Leadership & Development
- Hire, lead, mentor, and manage a team of Managers responsible for individual investment files, fostering a high-performance, collaborative, and accountable work culture.
- Oversee resource allocation, workload management, and capability development to ensure effective portfolio coverage.
- Promote continuous learning and knowledge-sharing across the team, particularly on industry best practices, emerging trends, and regulatory changes.
Qualifications
Education and Experience
- Degree in Finance, Business, Economics, Engineering, or a related field, or equivalent experience.
- Master’s Degree or Professional Designation (Chartered Professional Accountant (CPA), Chartered Financial Analyst (CFA), or Professional Engineer (P. Eng)) preferred, but not required.
- Minimum of ten (10) years of progressive experience in infrastructure investment, project finance, or investment/assets management, preferably in a private market industry.
- Experience managing large-scale infrastructure project contracts through post-close phase.
- Proven experience interpreting and enforcing complex legal agreements and financing documentation.
- Demonstrated leadership experience managing professional teams and fostering a high-performance culture.
- Track record in working with diverse stakeholders, including technical advisors, lenders, and project sponsors.
Knowledge and Skills
- Strong understanding of project financing structures, lender requirements, and technical due diligence processes.
- In-depth knowledge of infrastructure investment lifecycle, from project development to operations.
- Advanced financial analysis, risk assessment, and portfolio management skills.
- Proficiency in interpreting financial models, performance reports, and compliance documentation.
- Exceptional negotiation, problem-solving, and decision-making capabilities.
- Strong written and verbal communication skills, with the ability to convey complex concepts to diverse audiences.
- Strategic thinking with the ability to balance risk management and value creation.
