Corporate Counsel We are currently searching for corporate counsel, based within our Corporate Headquarters in Winnipeg and reporting to the Vice-President, Legal Counsel & Corporate Secretary. In this role, you will provide timely and effective legal advice to all levels of management on a variety of matters including general corporate matters, contracts, acquisitions, financing, employment, litigation, intellectual property, risk management and corporate governance.

This is a full-time, permanent, Winnipeg-based, on-site position that will support our core businesses. The ideal candidate will work collaboratively in a fun team environment, be motivated, and demonstrate the ability to solve problems effectively and with good judgment.

The Successful Candidate’s Responsibilities Will Include

  • Develop, draft, and negotiate a wide range of commercial contracts to support business goals and strategies.
  • Provide proactive and solution-oriented legal advice to business units.
  • Alongside the business units and other legal and compliance team members, support the development of risk management policies, procedures and programs to ensure regulatory compliance.
  • Manage and/or coordinate with external counsel on litigation and immigration matters.
  • Support and advise on corporate governance, including working with other legal team members on the preparation and maintenance of corporate documents, filings and registrations.
  • Support business transactions, including mergers, acquisitions and financings.
  • Provide guidance on intellectual property matters, including IP license agreements, and coordinate patent and trademark filings with external counsel.

The Ideal Candidate For This Position Will Have

  • LL.B. or J.D. degree (or equivalent).
  • Good standing with the Law Society of Manitoba or another Canadian province.
  • Ideally a minimum of 3 to 5 years of corporate & commercial law experience. In-house legal counsel experience is an asset. Background and experience in any of labour & employment law, immigration, international trade, and intellectual property is also an asset.
  • Superior interpersonal skills, verbal and written communication skills and an established record of providing proactive, collaborative, business-friendly advice.
  • Sound judgment, with a strong business acumen.
  • Highly motivated and independent self-starter.
  • Fast-paced, dynamic individual with exceptional organizational skills and the ability to handle multiple projects at a time.
  • Excellent work ethic and collaborative skills.
