Job Description:
The Commercial National Accounts ("CNA") team operates within TD Business Banking and provides dedicated relationship coverage to the larger commercial clients across all industry sectors. This client base is primarily designated by size of credit facilities being extended and/or complex cash management needs. It also encompasses all commercial clients with syndicated credit facilities (regardless of size). The group consists of senior commercial banking professionals who combine specific industry knowledge and extensive deal structuring experience to offer a full suite of customized credit and cash management solutions to meet the complex needs of our clients.
Within CNA, the Financial Sponsors Group ("FSG") is a specialized team of professionals with expertise in cash-flow lending to Canadian middle-market businesses. The team is focused on covering private equity firms and providing financing to support their portfolio companies. The team works closely with the TD Securities team in the firm's overall coverage activities.
Job Details
The Associate role is the natural entry point into FSG for individuals with previous Commercial Banking experience and/or experience in the broader M&A transaction industry. The Associate role is not designated to a specific portfolio, but rather provides support to all portfolios within FSG, allowing the Associate to gain a broad base of experience & skills necessary for future role progression. Specific job functions include:
- Partner with other FSG team members, and independently, to prepare and assist in presentations of financing proposals (structuring terms and conditions including security, covenants, pricing) to clients and prospective clients
- Attend meetings with client management in order to assess client’s financing needs
- Provide credit underwriting support across all portfolios.
- Work with deal team to complete comprehensive due diligence on new opportunities including business, industry, financial and commercial due diligence.
- Contribute to growth of the unit by assisting in structuring competitive packages while maintaining a balanced view of risk and credit quality.
- Assess credit risk in compliance with applicable internal and external requirements (e.g. financial controls, risk policies) to increase profitability and enable business growth.
- Prepare draft recommendations on credit submissions and investment proposals to present to senior management
- Assist with monitoring and control processes, including financial covenant tracking and internal bank tracking reports, to ensure the necessary processes are completed in a timely manner.
- Develop good relationships with internal stakeholders, external clients and general industry contacts to generate new referrals and business opportunities and to maintain a current view on the market.
- The team coordinates closely with TD Securities for M&A advisory, equity and other debt capital markets expertise as required.
Job Requirements
Qualifications/Skills/Experience:
- Previous experience in Commercial Banking including a focus on specialized senior lending areas including acquisition financings and loan syndication with preference for experience in private equity finance
- Very solid credit, analytical and problem solving skills.
- Strong financial modeling and accounting skills would be an asset.
- Excellent written and verbal communication skills.
- Strong organizational skills with the ability to meet tight deadlines and demonstrate attention to detail
- Strong team player, with an ability to work both in a team environment and independently.
- The ability to engage in active dialogue with internal and external stakeholders (Unit VP, clients, legal counsel etc.).
Specific Educational Requirements/Accreditations:
- An undergraduate or graduate degree in Business, Economics, Finance or other quantitative discipline. MBA or CFA or CBV would be an asset but not necessary
