We are currently seeking a Senior Associate Lawyer

Responsibilities

Independently manage a broad range of corporate-commercial files from initial consultation through completion. Advise sophisticated business clients on corporate governance, commercial transactions, and general corporate matters. Draft, review, and negotiate a wide variety of commercial agreements, including shareholders' agreements, asset and share purchase agreements, loan agreements, service agreements, distribution agreements, licensing agreements, and other commercial contracts. Lead corporate transactions, including mergers and acquisitions, business purchases and sales, reorganizations, and corporate restructurings. Manage transaction closings, coordinate with clients and third parties, satisfy closing conditions, and oversee all closing documentation. Handle routine corporate matters, including incorporations, amalgamations, continuances, dissolutions, revivals, and corporate maintenance. Advise on tax-driven reorganizations, including estate freezes and corporate rollovers, where applicable. Build and maintain strong client relationships while providing practical, business-focused legal advice. Work independently while collaborating with the firm's lawyers on complex matters when required.

Qualifications

Juris Doctor (JD) from an Ontario law school. Licensed and in good standing with the Law Society of Ontario. 6-10 years of private practice experience in corporate-commercial law (articling experience will not be considered). Strong experience independently managing corporate-commercial files and advising sophisticated business clients. Experience handling commercial transactions, mergers and acquisitions, corporate reorganizations, and complex commercial agreements. Excellent drafting, negotiation, analytical, and client management skills. Strong organizational skills with the ability to manage multiple files independently. Exceptional written and verbal communication skills. Ability to thrive in a fast-paced environment while working with minimal supervision.
