Corporate Law Clerk / Legal Assistant

Position: Permanent, Full-Time
Location: Downtown, Toronto, Ontario (4 days in office)
We are a growing corporate and entertainment-focused law practice based in Toronto, advising clients in the entertainment, media, and creative industries across Canada and internationally.
We are seeking a detail-oriented and highly organized Corporate Law Clerk / Legal Assistant to support our lawyers with entity formation, corporate maintenance, transactional work, and day-to-day legal administrative functions. This role is ideal for someone with corporate law clerk experience who thrives in a fast-paced transactional environment and enjoys working with creative industry clients.
This position does NOT provide legal advice. The successful candidate will develop and apply a strong working knowledge of Ontario and federal corporate procedures.
Key Responsibilities Corporate Entity Formation & Organization
- Assist with incorporations and implement structures for various corporate types based on lawyers’ instructions.
Ongoing Corporate Maintenance & Compliance
- Prepare and file annual returns and routine corporate filings under supervision. You will be required to maintain and update corporate records, registers, minute books, and track filing deadlines.
Share Capital & Securities Administration Support
- Prepare documentation and coordinate execution and organization relating to share issuances, transfers, redemptions, cancellations of shareholder and subscription documentation, and option plans and convertible instruments.
Amalgamations, Continuances & Dissolutions
- Assist with short-form amalgamations, continuances, dissolutions, and related filings as well as preparing draft resolutions and government forms for review. You will coordinate filing submissions and maintain organized transaction records.
Transactional & Due Diligence Support
- Support lawyers on corporate aspects of mergers, acquisitions, financing, and production-related structures by conducting corporate searches and organizing due diligence materials. You will prepare draft closing documents, signature pages, officer certificates, and closing checklists, coordinate document execution, and assist with post-closing filings.
Legal Assistant & Administrative Support
- Manage multiple lawyers’ practices including updates to calendars, deadlines, travel arrangements, providing file reminders, organizing client files, and updating precedent databases and document templates.
- Draft routine correspondence for lawyers’ review, prepare engagement letters and retainer documentation, and coordinate electronic signatures and document execution by communicating with clients, accountants, tax advisors, and government filing offices as directed.
Qualifications & Experience
- Law Clerk diploma or equivalent experience as a legal assistant/law clerk.
- 2–5+ years of experience in a corporate law clerk or hybrid legal assistant role.
- Experience with Ontario and/or federal corporate filings.
- Familiarity with minute book maintenance and corporate record keeping.
- Experience supporting transactional closings is considered an asset.
- Strong organizational and file management skills.
- Exceptional attention to detail with both written and verbal communication.
- Ability to manage multiple deadlines in a fast-paced environment while maintaining your sense of humour.
