LEGAL COUNSEL (3+ years’ M&A experience) Toronto, Kingston, Montreal or Quebec City
About the role
Founded in 1923, The Empire Life Insurance Company (“Empire Life”) is one of the top ten life insurance companies in Canada. Empire Life offers a full range of life and health insurance products and services to Canadians including individual and group insurance and investment and retirement products. Proudly Canadian, this organization’s mission is to provide expertise and intelligent solutions to help Canadians navigate life with confidence.
Empire Life is seeking to add a Legal Counsel to its growing legal team. Reporting to and working with Senior Legal Counsel (M&A), the successful candidate will provide legal, regulatory and risk management advice primarily related to M&A and financing transactions, as well as IT and commercial third-party contracts, corporate governance of subsidiaries and minority investments, and general corporate and commercial matters, as required. Although Empire Life’s head office is located in Kingston, this position may be based out of Empire Life’s Toronto, Kingston, Montreal or Quebec City offices, with the option for working from home for part of the time. This position will fill an existing vacancy.
The ideal candidate will have a minimum of 3 years of M&A experience gained from a financial institution or a leading law firm or corporation. Strong preference will be given to familiarity with legal and regulatory issues pertaining to the operations of a regulated life and health insurance company, knowledge of insurance distribution, and technology and/or IT procurement matters. While support from members of the legal team will be provided, confidence and the ability to work independently will be required. Strong communication skills and sound judgment, as well as a pragmatic approach to finding solutions will be important as you will be working directly with cross-functional business teams, as well as external legal counsel. Bilingual (English and French) language skills will also be valued.
This is an exceptional opportunity within a well-respected organization known for integrity, financial strength, industry-leading technology and personalized service. The work is interesting, varied and national in nature, where you will be part of a highly collaborative team and a culture of integrity and care.
