About The Position

  • We are searching for a permanent Associate Corporate Secretary to join our team.
  • PBC’s compensation program is built on a pay-for-performance philosophy, rewarding both individual and organizational achievements. The typical hiring range for this position is $76,800 to $115,200 per year, with the starting salary determined based on a combination of skills, education, experience, and internal equity. As part of our total rewards package, you’ll be eligible for our annual bonus program.

Key Ways This Position Makes An Impact As the Associate Corporate Secretary, you will work closely with members of the Board, the Senior Vice President, General Counsel and Corporate Secretary, and members of the Executive Leadership Team providing governance support and exercising sound judgement on confidential matters such as legal filings and requirements, strategic planning, and corporate and organizational restructuring.

This role supports effective governance and Board operations by maintaining governance documents including charters, bylaws, policies, and Board reference materials, drafting Board communications, preparing written reports for Board members, and serving as a contact point for Board matters.

In this role you will provide administrative and coordination support to the Parent Board and all its Standing Committees, to the Subsidiary Management Boards, to related governance bodies, and to the Senior Vice President, General Counsel and Corporate Secretary by preparing and distributing agendas and other correspondence, coordinating meeting logistics, transcribing and distributing meeting minutes, managing the Board calendar, and managing Board retainers and attendance fees.

This role supports the delivery of key governance processes in alignment with bylaws and other governance requirements by managing the Director Nomination process with the Nominating Committee and managing the Board election and member voting procedures.

As the Associate Corporate Secretary, you will prepare the annual Board budget in consultation with the Senior Vice President, General Counsel and Corporate Secretary.

In this role you would serve as the primary governance liaison with internal stakeholders and external stakeholders such as regulators.

You would partner with internal stakeholders (legal, compliance and risk) to mitigate governance-related risks and support internal audits and reviews related to governance processes.

Key Experiences You Bring To This Role

  • Bachelor's degree in business administration, or a related field.
  • 5 to 8 years of related experience in governance, compliance, or policy, preferably within a regulated industry.
  • Demonstrated proficiency in MS Office software, including Outlook, Word, Excel, and PowerPoint.
  • Demonstrated ability to maintain confidentiality, and to apply appropriate judgement in handling and managing sensitive information, particularly data affecting employees, regulatory filings, long term strategic planning and resource allocation, organizational restructuring, and personal information.
  • Excellent organizational, time management, project management, and collaboration skills.
