Associate Director of M&A

Hybrid - Toronto office at Yonge & St. Clair (required to be in the office 2 days per week)

We are looking for a driven, hard-working, modelling-guru with the demonstrated potential to become a future leader for the Andromeda Operating Group at Constellation Software, a fast-growing global technology company.

The Associate Director of M&A will support the Vice President of M&A throughout the entire M&A life cycle from lead generation through to closing transactions. The expectation is the candidate will be able to lead transactions independently.

Qualifications:

  • 5-7+ years of progressive work experience at a top tier accounting, capital advisory, investment banking and/or private equity firm.
  • 3-5 years of mid-market deal experience executing transactions is mandatory.
  • Experience working with small owner-managed businesses as a client/target.
  • Buy side experience is a plus but not required.
  • CPA, CA designation / CFA/ and/or MBA are considered assets.
  • Excellent attention to detail, and the ability to work in a fast-paced environment, manage multiple priorities and meet tight deadline
  • Strong communication skills (both verbal & written) with an emphasis on relationships and succinct report writing.
  • Advanced Excel and exceptional Financial Modelling skills.
  • Ability to work variable hours and travel when required to close transactions.
  • Confidence and polish is required for frequent interaction with Senior Executives, Business Owners, Investment Bankers, Lawyers, Accountants, and other key Stakeholders.

Job Responsibilities:

  • Lead M&A processes from start to finish, with support and guidance from the VP of M&A.
  • Responsibilities include:
  • Qualifying targets for fit and deal probability through early conversations with business owners/senior executives and review of initial diligence materials.
  • Performing detailed financial analysis on the financial statements and underlying data to identify trends and assess business strength and quality.
  • Building a detailed financial model in Excel to determine valuation.
  • Drafting offers and deal documents, and negotiating deal terms.
  • Facilitating the due diligence process through to closing, including managing and coordinating across multiple internal and external diligence work streams.
  • Maintaining relationships with decision makers at acquisition targets.

Salary Range (Ontario & BC Only):

The estimated base salary range for this role is CAD$110,000.00 - CAD$150,000.00 per year. Final offer amounts may vary based on job-related factors, including work location, candidate experience and expertise, and other relevant considerations.
