Senior Manager, Subsidiary Governance Office Canada
Location: Hybrid (4 days onsite) | Toronto Downtown
Duration: 10 months
Daily Responsibilities:
- Oversight and accountability for the corporate governance of certain regulated and unregulated Canadian subsidiaries of the bank.
- Provide expertise and support on corporate secretarial and governance matters and help ensure a consistent approach to corporate governance is applied to all designated subsidiaries aligned to local legal and regulatory requirements.
- Support the SGO Canada team in the development and implementation of policies and procedures relating to the corporate governance of designated subsidiaries.
- Interact with subsidiary directors and senior management in Canada, providing and sourcing information as required to enhance and streamline governance practices.
- Participate in the delivery of strategic and efficiency projects in SGO Canada and will help integrating and embedding SGO strategic objectives in Canada.
- Oversee the compliance framework for Canadian corporate filings and certain regulatory filings that fall within the SGO’s mandate.
- Support the SGO Canada team in connection with the creation, dissolution and reorganization of subsidiaries in Canada and provide support on executing transactions on behalf of SGO.
Additional responsibilities:
- Provide company law, corporate governance and regulatory advice and support to the officers and board members of designated subsidiaries and senior management.
- Assist with regulatory communication exchanges on governance of designated subsidiaries.
- Monitor emerging best practices relating to corporate governance and assist boards in implementing best and most appropriate governance practices.
- Establish and maintain effective policies, processes and procedures, within the enterprise framework, that allow subsidiary boards to carry out knowledgeable and independent oversight of management of the applicable subsidiary
- Assist the designated subsidiary directors in managing the governance responsibilities of the boards and their committees (as applicable).
- Responsible for managing records and data integrity of all information about designated subsidiaries, including data input into the bank’s legal entity database (currently GEMS).
- Coordinate and organize the flow of information to directors of designated subsidiaries.
- Provide assistance to all subsidiaries, responding to inquiries and sourcing solutions to issues on board protocols, board and committee meetings, directorships, orientation and training of new directors, preparation of documentation and other matters about board activities and corporate governance generally.
- Responsible for ensuring the completion of corporate filings and returns for the Bank and its Canadian subsidiaries, including overseeing and managing various related processes for Canada (e.g., agents for service, filing).
- Lead and/or provide support in the creation, dissolution and reorganization of subsidiaries in Canada, executing transactions on behalf of SGO.
- Serve as project manager of various enterprise initiatives.
Must-have Skills
- 5-7 years of experience as a law clerk or paralegal with corporate services experience gained at a major law firm or equivalent experience or have substantial experience as a Corporate Secretary in a regulated environment
- Law clerk designation or equivalent college designation in legal technical studies
Nice-to-have Skills
- Professional corporate secretarial designation
- Experienced manager, with a track record for leading change and building successful teams
- Strategic planning and implementation experience
