Contributing in this role means
Corporate books and records:
- Drafting shareholder and director resolutions and maintaining the minutes books of Group companies;
- Preparing extracts or copies of these resolutions to be authenticated by the corporate secretary;
Regulatory compliance:

Prepare and file applications for the obtaining, modification, or renewal of licenses and permits necessary for the Group's activities with the competent authorities in Canada and the United States.

Monitor registrations relating to the intellectual property of Group companies in the jurisdictions where they do business in Canada and the United States.

Prepare and file the required declarations and reports (annual, amendments, etc.) to ensure that the Group Companies maintain their corporate status in their various jurisdictions.

Prepare and file various declarations or periodic reports required by securities authorities (Autorités des marchés financiers, Toronto Stock Exchange, SEDAR, SEDI, etc.). Including, in particular:
o Insider disclosures
o Reports to be filed on TSX SecureFile -
Prepare and occasionally file reports with environmental authorities;
Documentation for expatriate employees
- Assist the Chief Legal Officer in preparing work visa applications for expatriate employees in the United States and abroad.
Assistance with transactions and litigation
- Conduct the necessary research for due diligence related to Group transactions (sales or acquisitions, financing, share issues or buybacks, etc.) involving Group companies;
- Conduct the documentary or factual research required for the preparation of litigation files involving Group companies;
Document management and administrative support;
- Conduct legal research and support the legal department in managing corporate and litigation files.
- Ensure the filing and archiving of legal documentation for Group companies and maintain an up-to-date list of legal department files;
- Contribute to the design, implementation, and improvement of methods, procedures, and tools aimed at optimizing the efficiency of the legal department.
Qualifications and requirements:
- College diploma in legal techniques;
- Minimum of 3 years of experience as a legal technician or paralegal
- Ability to acquire and develop new knowledge and skills.
- Fluency in spoken and written French and English (bilingualism essential).
- Knowledge of Microsoft Office.
- Knowledge of Internet resources related to job tasks (RDPRM, Business Register, SEDI, SEDAR, etc.).
- Experience in corporate and securities law in a law firm or notary office or in the litigation department of a public company (i.e., publicly traded). (Asset)
- Experience in obtaining or managing work visa files for employees of Canadian companies expatriated to the United States. (Asset)
