Position Overview
The Legal Counsel is responsible for providing practical, business-focused legal advice to Calian’s business units and corporate services teams. This role supports a wide range of legal needs—including commercial, corporate, regulatory, and operational matters—while ensuring compliance with applicable laws and managing legal risks. Success in this position requires a customer-service mindset, strong collaboration skills, and the ability to work as part of a cohesive team that supports Calian’s business objectives.

Responsibilities
- Act as the first point of contact for legal queries from the assigned business unit.
- Collaborate with business teams to provide clear, actionable legal guidance on issues related to contracts, compliance, M&A, employment, litigation, risk management, international expansion, intellectual property, insurance, and more.
- Support the General Counsel and Senior Legal Counsel with initiatives in corporate governance, securities, finance, commercial matters, privacy, and other strategic areas.
- Draft, review, negotiate, and interpret a wide variety of commercial agreements.
- Provide risk assessments and support the business in identifying and mitigating legal exposure.
- Conduct due diligence and assist in the company’s M&A activities.
- Support the development of litigation strategy and manage various types of claims.
- Research and analyze legal issues affecting the business across multiple jurisdictions.
- Stay current with applicable laws and regulations; develop and support the implementation of best practices, policies, and training.
- Assist in managing and expanding subsidiaries in Canada, the United States, and Europe.
- Perform other related duties as required.
Qualifications
- J.D. or LL.B. degree.
- Licensed to practice law and a member in good standing with a provincial Law Society in Canada.
- 2–10 years of post-call experience.
- Strong drafting, reviewing, and negotiation skills; experience in litigation or contracts is an asset.
- Excellent interpersonal skills and a strong commitment to collaboration and client service.
- Demonstrated business acumen and the ability to support organizational growth through sound, practical legal advice.
- Ability to identify efficiencies and recommend improvements to support continuous business growth and excellence.
- Strategic thinker with the ability to propose pragmatic, effective solutions to complex issues.
- Ability to work independently while knowing when to seek guidance and keeping Senior Legal Counsel informed.
- Strong attention to detail with the ability to analyze legislation, legal decisions, and commercial agreements while considering practical business implications.
