What we are looking for

We are looking for a motivated and capable individual with a knowledge of contract negotiation, administration, and public procurement processes to join us as a Contract Manager.

This role will report to, and be supported by, Senior Legal Counsel in the business, as they take on end-to-end contract work including: the management, negotiation, and administration of various contracts, including software license, software maintenance, sub-contractor, non-disclosure, teaming and vendor agreements. The position will also involve reviewing related procurement matters, such as Requests for Proposals and other bid documents, and ensuring that the agreements arising from such documents reflect the negotiated terms and conditions.

The ideal candidate will possess strong organizational skills, pay close attention to detail, and have excellent interpersonal skills to deal with people at all levels of our Company. They should also have strong verbal and written communications skills as well as the ability to handle multiple files at the same time.

Prior experience with contract management, review, and negotiation, as well as with software licensing and public sector contract procurement, is considered a valuable asset. We welcome applications from candidates who have held the role of a “Contract Manager” before, as well as those who have held comparable roles, such as Paralegals, Contract Administrators, or their equivalents.

Responsibilities

• Reviews and summarizes contracts and subcontracts, participates in subsequent negotiations with customer/vendor contracting personnel.
• Works with management, sales, finance, and service teams as well as the legal department to manage and structure contracts.
• Analyzes contracts to ensure compliance with company policy, government specifications, and other requirements.
• Takes proper action to close out the contract in accordance with applicable procedures at the conclusion of all activity.
• Assures the timely communication of contract information with management and other stakeholders and maintains complete and accurate contract files.
• Acts as principal interface with internal/external stakeholders on contractual matters. Takes necessary action or coordinates action to resolve any contractual problems with the contract execution team in a timely manner.
• Reviews incoming customer requests for proposals (RFPs), identifies proposal requirements, reviews terms and conditions for acceptability and compliance with company policies and procedures, assists in proposal development as required and participates in securing required management approval for submittal of proposals to customers.
• Participates in proposal reviews and approvals, and briefs management on the legal terms and conditions.
• Manages, prioritizes, and carries out day-to-day work independently, reaching out to Senior Legal Counsel or other supports on an as-needed basis.
• Some travel is required. Candidate must be able to travel to and within Canada and the U.S.

Qualifications

• University or college degree in law, business, or legal administration (paralegal or legal clerk)
• Knowledge of contract review, negotiation, and administration processes
• 5 years of related experience
