About the role

Job Description

Reporting directly to the CEO, the General Counsel will serve as the Company's principal legal advisor and play a key role in supporting executive management and the Board of Directors on legal, regulatory, governance, and strategic matters. This position is ideal for a business-minded lawyer with strong technical expertise, sound commercial judgment, and a hands-on approach to problem solving. As a member of a lean, publicly traded organization, the successful candidate will be comfortable operating independently while collaborating effectively with internal stakeholders and external legal advisors. The General Counsel will oversee the Company's legal affairs, with a primary focus on Canadian securities law compliance, continuous disclosure obligations, corporate governance, and strategic corporate transactions.

Key responsibilities include

Advising the CEO, executive management, and the Board of Directors on legal, regulatory, governance, and strategic business matters. Managing the Company's continuous disclosure obligations and ensuring compliance with applicable Canadian securities legislation and Canadian Securities Exchange (CSE) requirements. Supporting public company reporting, regulatory filings, financings, and other securities-related matters. Advising on mergers and acquisitions, corporate reorganizations, strategic investments, and other corporate transactions. Drafting, reviewing, and negotiating commercial agreements and other legal documentation. Identifying legal and regulatory risks and providing practical, business-oriented advice to support strategic decision-making. Coordinating and managing external legal counsel and other advisors as required. Ensuring the Company remains compliant with all applicable laws, regulations, and corporate governance best practices.

Qualifications

At least 5 years of post-call experience in corporate, securities, and business law, gained at a leading law firm, publicly traded company, or a combination of both. Demonstrated experience advising Canadian public companies on securities law compliance, continuous disclosure obligations, corporate governance, and stock exchange requirements. Experience supporting public financings, private placements, mergers and acquisitions, and other strategic corporate transactions. Strong understanding of Canadian securities regulatory frameworks and public company governance. Excellent analytical skills and exceptional attention to detail. Strong commercial judgment with the ability to balance legal risk and business objectives. Highly organized, with the ability to manage multiple priorities and meet tight deadlines in a fast-paced environment. Excellent written and verbal communication skills, with the ability to translate complex legal issues into practical advice for executive management and business stakeholders. Professional proficiency in both English and French.
