What we are looking for: Depending on the level of experience, we are looking for a Senior Legal Counsel or Director level individual who will report to the Corporate Secretary and Associate General Counsel to join our legal team. Candidates who want to work in a dynamic and entrepreneurial environment, who wish to work on various matters and have a wide range of responsibilities should apply. This position will be based at our downtown Montréal, Québec headquarters.
Your responsibilities:
- Manage governance matters in accordance with corporate law and best practices.
- Organize and manage board and committee meetings, including preparation of agendas, minutes, and meeting materials and the distribution thereof.
- Organize and manage the preparation of disclosure documents (AIF, MIC, etc.).
- Monitor changes in corporate governance standards and advise on necessary updates to charters, policies or procedures.
- Provide legal advice and support on corporate, securities, regulatory, and commercial matters.
- Draft, review, and negotiate a variety of legal documents including commercial contracts.
- Work on mergers and acquisitions, financings, and corporate restructurings.
- Coordinate with external counsels on litigation matters.
- Work on employment matters, namely, drafting and reviewing employment agreements, incentive awards, incentive compensation plans, employee stock option plans, etc.
- Coordinate intellectual property matters with external counsel.
Must have requirements to be successful in this role :
- Law Degree and member in good standing of the Québec Bar.
- Lawyer with at least 6 years’ relevant experience in a law firm or as in-house counsel.
- Bilingualism required (English and French).
