Reporting to the Head, Osler Works – Transactional, this exciting role offers the opportunity to work at the intersection of intellectual property, technology, and corporate transactions. The successful candidate will play a pivotal role in managing the IP and technology due diligence process for mergers, acquisitions, and other corporate transactions, leveraging cutting-edge AI tools to do so. This position is ideal for a detail-oriented professional with a passion for innovation, a strong understanding of IP and technology law, and a desire to contribute to a dynamic, high-performing team.

Major Responsibilities
- Manage the IP and technology due diligence process for mergers and acquisitions and other corporate transactions
- Conduct IP and technology due diligence using AI technology and preparing any riders to due diligence reports
- Review disclosure schedules
- In collaboration with the IP and Technology Department, review and address IP and technology issues in transaction documents
- Assist in the assessment of IP ownership, licensing structures and commercialization considerations in the context of transactions
- Prepare, draft, and negotiate IP assignment, domain name assignment, and other commercial agreement ancillary to corporate transaction as required
- Assist with developing and implementing IP and technology process playbooks to support due diligence and other processes in connection with transactions
- Support the IP and Technology Department with the negotiation and drafting of transition services agreements as required
Position Requirements
Education and Experience
The position requires at least one to three years of post-call experience as a practicing lawyer at a national law firm. Prior experience in M&A, technology transactions, including is an asset. An equivalent combination of education, training and experience may be acceptable.
Knowledge and Skills
- Knowledge of mergers and acquisitions and technology transactions, including commercial agreements (e.g. licensing agreements, software-as-a-Service agreements, professional services agreements) is an asset
- An interest in intellectual property and technology-related issues in corporate transactions
- Strong communication, drafting and organizational skills
- A proactive approach and the ability to work effectively in a fast-paced, team-oriented environment
- A strong commitment to client service, efficiency, and innovation
Compensation:
Compensation offered will be based on a variety of factors including year of call, job-related knowledge, education, skills and experience.
We are currently working in a hybrid work arrangement, which includes a requirement to work primarily in the office and flexibility to work remotely up to 2 days per week.
