About the role

Dorsey & Whitney LLP is seeking a corporate associate attorney with three to six years of experience to join the Capital Markets and Corporate Compliance practice group in our Toronto or New York office. This associate will have extensive knowledge of U.S. securities and corporate law and experience working with domestic and international companies, including China-based and other foreign private issuers.

We Require The Following Qualifications

  • Three to six years of prior experience representing issuers and underwriters in capital markets and corporate law work, including U.S. federal and state securities laws with strong working knowledge of ’33 and ’34 Act regulations and compliance, as well as experience working on initial public offerings, PIPEs, SPACs and De-SPACs) and general corporate experience at a large international law firm.
  • U.S. law degree (J.D. or equivalent)
  • At least one U.S. bar admission (New York bar admission preferred)
  • Excellent drafting, analytical and communication skills
  • Excellent time management and project management skills
  • Strong client service mentality and cultural sensitivity

We Prefer That Applicants Have The Following Qualifications

  • Experience working with PRC firms and/or experience representing foreign private issuers
  • Mandarin Chinese fluency a plus
  • Knowledge of accounting and corporate finance is a plus
