Director of Legal – Corporate Legal Affairs
Department: Legal Affairs - Canada
Location: On site, Laval, QC (4204 boulevard Industriel, H7L 0E3)
Type of employment: Permanent, Full Time (40 hours)
THE ROLE
Reporting to the Head of Legal, Corporate Legal Affairs, the Director of Legal, Corporate Affairs and Assistant Corporate Secretary will be responsible for leading the Company’s corporate governance and corporate secretarial functions. This role will provide strategic support to the Board of Directors and its committees, oversee continuous disclosure and securities law compliance, and drive enhancements to governance frameworks and legal processes in alignment with best practices, across both the publicly listed entity and its global network of subsidiaries. The Director will also play a key role in supporting the Company’s strategic initiatives, ensuring that the global governance standards and compliance processes evolve in step with the Company’s growth and regulatory landscape.
In addition to providing expert legal advice, the Director of Legal, Corporate Affairs, will assume a key leadership role by leading, mentoring and developing a team of legal professionals. This includes ensuring the legal corporate affairs team is equipped with the necessary resources, support, and strategic direction to deliver high-quality legal services, fostering professional growth, and promoting a collaborative and accountable work environment. The Director of Legal, Corporate Affairs will be responsible for setting clear priorities, mentoring team members, and driving continuous improvement within the team to meet organizational objectives. This leadership position is integral to shaping the governance agenda and embedding process excellence across securities law compliance and disclosure activities.
WHAT YOU’LL DO
Here are some ways you will make a difference:

Lead the evolution and execution of the Company’s corporate governance framework, ensuring effective processes between the Board, its committees, and executive leadership, including oversight of reporting protocols and governance policies.

As Assistant Corporate Secretary, oversee the planning, organization, and execution of Board and committee meetings, and act as secretary for the Audit Committee;
-
Provide expert legal advice on complex securities law matters, offering practical recommendations to senior executives and directors, including oversight of shareholder engagement and services.

Direct the global corporate secretariat office (Canadian and international subsidiaries), including overseeing the creation and maintenance of Canadian and international subsidiaries, regulatory compliance and the implementation of governance best practices.

Oversee the execution of corporate reorganizations and step plans for all subsidiaries in collaboration with the Finance team and the internal and external local legal teams.

Oversee continuous disclosure documentation and filings, including the annual information form and management information circular, as well as organization and preparation of the annual meeting of shareholders;

Partner with Investor Relations, Finance, and other functions to ensure governance alignment across the Company.

Design and deliver training programs on corporate governance, securities law compliance, and corporate policies to directors, executives, and employees.

Lead, mentor, and support the Corporate Legal Affairs team.

Ensure the team is aligned with organizational goals and legal priorities, providing ongoing guidance, coaching, and professional development.

Oversee workload distribution, set clear expectations, and foster a collaborative environment where team members are empowered to deliver high-quality legal counsel and support.

Regularly assess team performance, identify areas for growth, and implement best practices to optimize efficiency and effectiveness.

Serve as the primary point of contact for escalated issues with respect to the global corporate governance framework, including delegation of authority, and corporate secretarial functions, ensuring the team has the resources and direction needed to address complex corporate governance and securities law matters.

Promote a culture of continuous improvement, accountability, and legal excellence within the team.
WHAT YOU’LL NEED
We want you to join our team! Here's what we're looking for:
Education:
- Law degree (LL.B. or J.D.) and member in good standing of the Quebec Bar.
- Securities law expertise and excellent knowledge of the applicable securities regulatory framework
Experience:
- 10+ years of progressive legal experience, with at least 5 years focused on corporate governance, securities, and public company compliance.
- Experience serving as secretary or assistant corporate secretary of a TSX or NYSE/Nasdaq listed company preferred.
Knowledge and skills:
- Strategic governance thinker with practical, results-driven problem-solving skills.
- Influential collaborator, able to build trust at all levels of the organization.
- Excellent oral and written communication abilities (both in French and English), including drafting for disclosure and board materials
- Proven ability to lead a team of professionals and ensure their development and commitment.
- Ability to coach and foster a collaborative work environment.
- Proven ability to organize work of the team, including working under pressure and manage several complex files concurrently within established deadlines.
- Exceptional attention to detail, organizational skills, and ability to manage multiple complex priorities under tight deadlines.
- High degree of integrity, judgment, and professional ethics.
- Client centric approach, facilitator of change, appreciation of entrepreneurial culture and ability to adapt to a constantly changing environment.
Language skills
- Bilingualism required (French and English), excellent both written and spoken, as the person will be required to work and communicate regularly in English while performing the tasks outlined above. Specifically, the role requires collaboration with global teams.
