THE OPPORTUNITY
Join WSP's global corporate legal team based in Montreal and play a key role in
supporting the governance, compliance, and equity compensation programs of one of the world's leading professional services firms.
As Legal Counsel, Corporate Governance, Global Equity & Compliance; you will
work closely with internal stakeholders, executive leadership, and external advisors on matters relating to securities law, corporate governance, executive compensation, and regulatory compliance across multiple jurisdictions. This is an exciting opportunity for a legal professional who enjoys combining technical expertise with strategic business partnership in a dynamic global environment.
YOUR IMPACT
- Lead and coordinate global compliance initiatives related to employee share purchase plans and equity compensation programs across multiple jurisdictions.
- Collaborate with cross-functional stakeholders and external counsel to address securities, tax, labour law, exchange control, and regulatory requirements related to equity plans.
- Manage and maintain centralized compliance tracking tools, databases, and workflow processes supporting global equity programs.
- Monitor legislative and regulatory developments impacting equity compensation and drive the implementation of compliance updates and best practices.
- Coordinate and execute regulatory filings associated with employee share purchase plans and equity compensation programs.
- Provide practical legal advice on securities law matters affecting a publicly traded company, including matters relating to executive compensation.
- Advise on corporate governance matters and support the boards and committees of a reporting issuer.
- Contribute to the development of governance frameworks, support the preparation of the Management Information Circular, and assist with related corporate legal initiatives.
THE SKILLS THAT SET YOU APART
- 3 to 5 years of experience practicing law in the areas of securities, corporate governance, corporate law, or related disciplines acquired within a major law firm, a large international organization, or a combination of both.
- Membership in the Barreau du Québec or another Canadian provincial or territorial law society.
- Strong understanding of securities law and governance requirements applicable to publicly traded organizations.
- Experience managing complex projects involving multiple stakeholders and competing priorities.
- Exceptional analytical, organizational, and attention-to-detail skills.
- Strong written communication abilities with the capacity to provide practical, business-oriented legal advice.
- Excellent relationship-building and collaboration skills with the ability to work effectively across global teams.
- Advanced proficiency with Microsoft Office applications, including SharePoint and Teams, combined with strong technology aptitude.
- Fluent English communication skills, both written and spoken.

COMPENSATION
AB, BC, NT, NU, SK & YT: $98,800 - $130,800
MB & ON: $90,100 - $124,100 NB, NL, NS, PE & QC: $89,200 - $118,500
