Job Title : Associate Manager/ Manager
Location : Bangalore
Reports to : Project Manager / Legal Head
Job Summary The Associate Manager will play a critical role in the effective management, administration, and monitoring of contracts throughout the project lifecycle. This individual will ensure strict adherence to contractual terms, minimize risks, and enhance commercial outcomes while maintaining smooth coordination between the project, legal, and business teams.
Roles And Responsibilities Contract Drafting & Negotiation : Review, draft, and negotiate contracts, subcontracts, MOUs, and agreements in alignment with company policies, legal standards, and client requirements.
Compliance & Governance : Ensure compliance with statutory, legal, and regulatory requirements, as well as adherence to corporate governance standards.
Contract Administration : Maintain complete and up-to-date records of all contracts, variations, amendments, extensions, change orders, and related correspondence.
Risk Management & Claims Handling : Identify and mitigate potential contractual risks; actively participate in the preparation, defense, and resolution of claims and disputes.
Contract Modifications : Oversee the timely processing of contract amendments, variations, extensions, and change orders in coordination with the project and finance teams.
Stakeholder & Vendor Coordination : Serve as the primary point of contact between vendors, subcontractors, clients, and internal teams for seamless contract execution and issue resolution.
Financial & Legal Advice : Provide expert advice to management on financial and legal implications of contracts, risk exposure, and overall contract performance.
Dispute Resolution : Support the resolution of contractual disputes through negotiation, arbitration, or litigation as needed.
Reporting & Monitoring : Prepare and submit regular reports to management detailing contract status, risks, compliance, and key issues.
Qualifications Qualification :
Bachelor’s degree in Law, Business Administration, or a related field (Master’s degree preferred).
Experience Minimum 8 years of experience in contract administration, preferably in large-scale infrastructure projects or industries with complex contractual obligations.
Experience in construction, engineering, or similar sectors is a plus.
Skills Strong understanding of contract law, risk management, and compliance.
Excellent communication and negotiation skills.
Proven ability to manage multiple contracts and coordinate with various stakeholders.
Ability to analyze complex contractual issues and provide practical solutions.
Strong organizational and documentation management skills.
Contract Management Key Result Areas (KRA) :
Accurate and timely drafting, review, and administration of contracts.
Ensure contracts are processed within agreed timelines for amendments, change orders, and other communications.
Compliance & Governance Adherence to all corporate, legal, and regulatory requirements.
Ensure all contract documentation is complete, accurate, and up to date.
Risk & Claims Management Proactive identification and mitigation of contractual risks.
Efficient preparation, defense, and resolution of claims and disputes.
Vendor & Stakeholder Coordination Facilitate smooth contract execution with vendors, subcontractors, and clients.
Serve as liaison between project teams, legal, and business units.
Reporting & Insights Provide timely and accurate management reports on contract statuses, risks, and other key issues.
Advise management on financial, legal, and operational implications.
Contract Turnaround Key Performance Indicators (KPI) :
Percentage of contracts reviewed, negotiated, and finalized within stipulated timelines (TAT).
Compliance Score Zero instances of non-compliance during internal or external audits.
Claims & Dispute Resolution Percentage of claims successfully defended or resolved favorably.
Average resolution time for disputes.
Cost & Value Management Savings achieved through effective negotiation and risk mitigation strategies.
