Position Summary
We are seeking an experienced Senior Transactions Attorney to provide strategic legal counsel and support complex business transactions across Canada. The ideal candidate will possess strong expertise in Canadian commercial and transactional law, with a solid understanding of regulatory and compliance matters. This role will partner closely with business leaders and cross-functional stakeholders to structure, negotiate, and manage a broad range of commercial agreements while ensuring compliance with applicable laws and regulations.
Experience in privacy law and data protection is highly desirable, and qualification to practice law in Quebec is considered a significant asset

Key Responsibiliti
esLead the drafting, review, negotiation, and management of a wide range of commercial and transactional agreements, includin g:Customer and vendor agreemen tsTechnology and SaaS agreemen tsStrategic partnerships and allianc esLicensing agreemen tsProcurement and service agreemen tsDistribution and reseller arrangemen tsProvide legal advice on complex commercial transactions and business initiatives across Canadian jurisdiction s.Identify legal, regulatory, and commercial risks and develop practical, business-oriented solution s.Advise stakeholders on Canadian regulatory requirements, corporate governance, and compliance obligation s.Support the development and implementation of legal and compliance policies, procedures, and training program s.Collaborate with business, finance, procurement, HR, privacy, compliance, and executive leadership teams to facilitate business objective s.Manage legal issues arising from contract disputes, enforcement matters, and risk mitigation effort s.Provide guidance on privacy, data protection, and information governance matters, where applicabl e.Monitor changes in Canadian laws and regulations and advise internal stakeholders on potential business impact s.Manage and coordinate external counsel as neede d.Required Qualificatio nsJuris Doctor (JD), Bachelor of Laws (LL.B.), or equivalent legal degre e.Licensed and in good standing with a Canadian provincial or territorial law societ y.8–10 years of post-qualification legal experience, with significant experience handling sophisticated commercial and transactional matter s.Strong expertise in Canadian commercial and contract la w.Demonstrated experience negotiating and drafting complex commercial agreement s.Experience advising on regulatory and compliance matters affecting business operation s.Excellent legal analysis, negotiation, communication, and stakeholder management skill s.Ability to work independently and manage multiple priorities in a fast-paced environmen t.Strong business acumen and ability to provide practical, solution-oriented legal advic e.Preferred Qualificatio nsExperience advising on privacy and data protection laws, including Canadian privacy frameworks and related compliance requirement s.Experience supporting highly regulated industries or multinational organization s.Knowledge of corporate governance, risk management, and compliance program s.Experience with technology, software, digital services, or emerging technology transaction s.Qualification to practice law in Quebec and familiarity with Quebec civil law principle s.Bilingual proficiency in English and French is highly desirabl
