The Team A&M's Global Transaction Tax team is composed of seasoned tax professionals experienced in providing practical tax advice to corporate and private equity clients throughout the transaction life cycle. Alongside A&M professionals with deep operating and financial-related experience, the team uses an integrated, focused, and tailored approach to rapidly identify and understand potential deal breakers, value drivers, and other areas of specific interest to our clients. Our professionals have significant experience on both buy side and sell side transactions across all industries, including education, energy, environmental services, financial institutions, healthcare, and software and technology.
How You Will Contribute As a member of the A&M Global Transaction Tax team, you will:
- Lead and oversee aspects of indirect tax, with a focus on transaction structuring, tax due diligence, and structuring.
- Utilize deep technical knowledge of the indirect tax laws to complex client issues, including indirect tax strategy, remediation and audits and assessments.
- Direct and manage diverse indirect tax engagements that will include advising on domestic and cross-border transactions, mergers & acquisitions, sales tax audits/examinations defense and assist with identifying applicable indirect tax obligations, obtaining registrations and on-going compliance.
- Collaborate with cross-functional teams to analyze and assess the indirect tax implications of business transactions including providing assistance with complex technical issues which may include researching various indirect tax laws and regulations, preparing memorandums and letters on complex indirect tax matters.
- Lead tax due diligence reviews to identify potential indirect tax risks and opportunities, providing actionable recommendations to mitigate tax exposure.
- Advise on the structuring and restructuring of corporate structures and business transactions considering indirect tax implications and regulatory requirements.
- Stay abreast of changes and new developments in indirect tax legislation and industry trends, proactively update and advise client of the changes and assist with adapting strategies and processes to reflect evolving standards and best practices.
- Provide guidance and training to internal teams on indirect tax matters.
- Manage client communications regarding indirect tax matters, including verbal updates regarding issues identified and recommended next steps.
- Clearly communicate work plan, project objectives, and timelines to multidisciplinary project teams.
- Build and maintain client relationships and demonstrate a working knowledge of client businesses; with opportunity to assume additional responsibility quickly.
- Encourage open expression of ideas and opinions and actively seek opportunities for others to share diverse experiences and perspectives.
- Assist with business development, including identifying opportunities for add-on work, creating business development resources, and developing proposal materials.
Qualifications:
- Bachelor's degree in Accounting, Business, or Finance;
- A completed law degree or accounting designation CPA, MST, MAcc, LLB. JD and/or LLM (preferred)
- At least 7 years of relevant experience in an indirect tax practice at a Big 4 firm, Big Law firm, or similar firm. Experience working on tax due diligence engagements would be an asset.
- Thorough knowledge of, and experience with Canadian indirect tax issues, with the capability to perform research and effectively apply that knowledge and experience to client situations;
- Strong writing, analytical, research, and organizational skills;
- Strong verbal and written communication skills;
- Strong sense of personal motivation as well as the ability to work with a team;
- Ability to work in a dynamic, time-sensitive, and sometimes stressful environment;
- Ability to give and receive constructive feedback and implement changes to continually improve performance of self and those that report to you;
