Position Status: Permanent Full-Time

Description Of The Position The Manager, Board Relations and Legal Services is an experienced governance professional who brings both strategic leadership and operational excellence. You will be the strategic partner that is responsible for all Board-related and corporate governance matters at SickKids Foundation, including the full cycle of Board and Committee meetings across all entities, the Directors & Trustees Emeriti program, regulatory filings, compliance reporting, and the policy review process. Working closely with the Corporate Secretary, General Counsel, and the Board of Directors, this role ensures governance excellence and accountability at the highest levels. In addition, the Manager serves as Corporate Secretary for the SickKids Charitable Giving Fund (SKCGF), overseeing all Board and AGM meetings, approval of Granting resolutions, policies, regulatory filings.
You Will Board & Committee Leadership
- Lead the full governance cycle for 35+ Board members, with 5 standing Committees and multiple SKF entities, including annual workplans, agendas, annotated guides, resolutions, presentations, minutes, and post-meeting follow-up.
- Partner with Board and Committee Chairs to ensure effective decision-making and seamless meetings, both in person and online.
- Oversee preparation and quality of materials, guiding senior leaders on process and content or where required drafting of documents, and ensuring timely distribution via the Diligent Portal.
- Manage governance systems and records, including vendor oversight, training, troubleshooting, and maintaining reference resources.
Board Engagement & Orientation
- Manage onboarding and orientation for new Members and Chairs, ensuring they are fully equipped for success.
- Build strong, trusted relationships by serving as the primary contact for Board inquiries and support.
- Manage Board engagement initiatives, including surveys, retreats, events, receptions, Trustees Emeriti, and Past Chair programs.
- Coordinate high-profile Board events in collaboration with Foundation colleagues and Hospital partners.
- Partner with Hospital counterparts to align on Joint Board and Committee matters, retreats, and communications.
Corporate Secretary – SKCGF
- Act as Corporate Secretary for SKCGF, managing all meetings, resolutions, policies, and regulatory filings.
Governance Excellence and Compliance & Regulatory Stewardship
- Ensure corporate and regulatory filings are completed across multiple jurisdictions (Canada, U.S., U.K., Caribbean), maintaining good standing of all SKF entities.
- Support the Imagine Canada re-accreditation process, demonstrating organizational excellence and sector leadership.
- Ensure appropriate compliance reporting, conflict of interest attestations, and related Board governance requirements.
- Oversee annual complaints report and other reporting, in collaboration with senior leaders. Oversee the review and approval process for Foundation policies to ensure appropriate internal governance framework is maintained.
- Advance governance excellence through continuous improvements based on external best practice and stakeholder feedback.
Executive Support
- Provide executive-level support to the Chief of Staff and Chief Operating Officer, and VP, General Counsel and Chief Risk Officer ensuring seamless coordination of governance operational, and strategic priorities.
- Anticipate needs and deliver high-quality materials, advice, and follow-through to advance leadership objectives.
- Manage communications to Board/Emeriti on behalf of President & CEO

Total Compensation Package Hiring Salary Range: $82,064 – $102,582; with the ability to progress to a maximum of $117,971. To ensure fair and equitable pay at SickKids Foundation, placement on the salary range will be based on your years of experience, skills, and qualifications relevant to the Manager, Board Relations & Legal Services.
