The Position

The Legal Counsel supports Mara’s corporate and commercial legal activities, working closely with the General Counsel on contract management, corporate governance, and compliance across Mara and its affiliates. This role is well suited for a lawyer with approximately 3–4 years of post-call experience seeking to broaden their in-house exposure within a dynamic global omega-3 manufacturer dedicated to enhancing human health through precision fermentation.

The Legal Counsel will draft, review, and negotiate a range of contracts; provide governance and compliance support; and assist in managing legal risk in alignment with Mara’s strategy and operations.

Key Responsibilities

Contract Management

  • Draft, review, and negotiate a variety of commercial agreements, including supply, manufacturing/tolling, joint venture, and partnership contracts.
  • Identify and mitigate contractual and commercial risks while ensuring alignment with company policies and applicable legal and regulatory requirements.
  • Maintain and oversee the company’s centralized contracts database, ensuring timely renewals, amendments, and version control.

Legal Support & Risk Management

  • Provide practical legal advice and support to internal business units including sales, business development, R&D, engineering, operations, and international affiliates.
  • Assist in identifying and mitigating legal, regulatory, IP, and operational risks.
  • Monitor relevant legislative and regulatory developments to ensure ongoing compliance and best practices.

Corporate Governance

  • Support corporate secretarial functions, including preparation and review of board and shareholder resolutions, meeting minutes, and maintenance of corporate records.
  • Assist in fulfilling corporate governance and regulatory obligations across Mara and its global affiliates.
  • Provide legal support to the Board of Directors and senior leadership as required.

Collaboration & Policy Development

  • Work with the General Counsel to provide timely and practical legal input that supports business decision-making.
  • Collaborate with internal and external stakeholders to resolve contract, compliance, and governance issues.
  • Assist in the development, implementation, and continuous improvement of company policies, procedures, and governance frameworks.

Required Skills And Experience

  • Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) with a current license to practice law in a Canadian province, ideally Nova Scotia.
  • Approximately 3–4 years of experience in corporate/commercial law, ideally gained in a law firm and/or in-house environment.
  • Experience drafting, reviewing, and negotiating contracts and supporting corporate governance activities.
  • Strong analytical, organizational, and communication skills, with an ability to manage multiple priorities in a fast-paced environment.
  • Sound business judgment and the ability to provide pragmatic legal advice aligned with commercial objectives.
  • A desire to explore the use of technology in legal practice management, including AI tools, with a strong ability and willingness to learn.
  • A proactive, collaborative, and detail-oriented approach.
  • A technical background in engineering or chemistry is helpful but is not required.
