The Paralegal will be responsible for working with departments across Mohawk College and external Legal Counsel on aspects of contract and agreement development, data protection, intellectual property and copyright, as well as risk (identification and mitigation), legal research and writing. The Paralegal will also provide a number of legal services for College staff, including developing NDAs, contest rules and regulations, waivers, consents and releases – while also answering general legal questions within their scope of knowledge. Furthermore, the paralegal will be utilizing strong negotiation skills, keeping up with legal nuances and recent changes to laws and new regulations put into effect. This position will require knowledge and experience with privacy laws and regulations, contract law and contract development as well as the ability to communicate using legal and industry terminology. The Paralegal is responsible for initiating, developing, administering, reviewing, analyzing, and revising proposals, contracts, and other forms of documents and agreements required by the College. The Paralegal is also responsible for the development and implementation of legal policies and procedures at the College.

This position can primarily work remotely, however, occasional travel to campus for in-person work may be required.

What you’ll be doing:

Development of New Contracts and Legal Agreements; Review of Existing Contracts and Legal Agreements

  • Drafting agreements and amending existing contracts to ensure that each is consistent with the parties' agreed-upon requirements, ensuring compliance with College policy, legislative requirements, and the College operational landscape, including the strategic plan and strategic mandate agreement, and providing appropriate support over the life of the agreement.
  • Review each contract in accordance with Mohawk College’s internal policies and processes.
  • Make necessary recommendations and assist in the revision of agreements as required.
  • Where appropriate, liaise with outside Legal Counsel to obtain legal guidance on complex agreements or contracts.
  • Review and provide oversight for all existing contracts by inspecting them to ensure they are in place and current.
  • Assist to identify and develop standard agreements (templates)
  • Review agreements for appropriate use of composition, language and grammar.
  • Effectively coordinate with managers and third parties to analyze agreements and understand the appropriate applications.
  • Work with third parties to finalize contract documents and negotiate favourable contract terms for the College.
  • Coordinate with Risk & Insurance Specialist to obtain information on contract-related insurance questions from SLT and various departments
  • Identify the need for new or changes to existing forms of agreement and make appropriate recommendations.
  • Direct various departments to the appropriate person to contact within the College when the contract needs additional information, review or input from other departments
  • Work with the departments to identify risks such as data (collection, storage and use of personal information), privacy risks (FIPPA, PHIPPA, GDPR), financial risks, and reputational risks.

Contract Management

  • Track the status of contracts within Mohawk College and with its clients and other third parties.
  • When necessary, work with College departments to determine the need for new agreements or amendments to existing agreements in complex situations where scope of work or contract parameters may have changed.
  • Conduct college-wide contract management audits and assessments and identify issues, requirements, and potential solutions.
  • Provide training to new staff on the Contract Management process when needed.
  • Update and maintain staff resources such as Contract Designates and the Contract Review Process Flowchart, and ensure these documents are available on MyMohawk.
  • Update and maintain the Contract Management Policy.
  • Work on improving contract management processes and procedures and eliminating redundancies.

Other Legal Services

  • Commission and witness College documents.
  • Review draft contest rules for all College-wide contests.
  • Field and answer legal questions from various departments within the College.
  • Draft and review non-disclosure agreements and waivers for various departments within the College.
  • Draft and review consents and releases for various departments across the College.
  • Review grant and RFP applications from various departments across the College.

Contract Management Software Administrator

  • Administration of contract management software including management of users, permissions and access.
  • Responsible for document control and retention, ensuring accuracy of records.
  • Store, track and manage repository of all policies, directives, guides and associated documents, ensuring version control. Initial review and renewal cycles.
  • Onboard and train College users through meetings and demonstrations.

Intellectual Property and****Copyright

  • Manage trademark register.
  • Manage and administer new trademarks for the College.
  • Liaison with the external IP lawyer regarding copyright and trademark infringements
  • Manage and update the College’s Intellectual Property and Commercialization of IP Principals policy and educate departments on IP.
  • Help departments with drafting IP clauses for research projects, new collaborative initiatives and sharing or selling curriculum.
  • Complete take-down requests for infringing material
  • Update and maintain the Intellectual Property and Commercialization Principles Policy and the Copyright Policy; and any other associated policies and procedures.

Other duties as assigned.

What you’ll bring to the role:

  • 3-year Degree or Diploma in Business Administration, Procurement, Contract Law, or Paralegal.
  • Minimum 5 years of progressive experience in contract development, review, and management within a public sector or government environment. Experience in a postsecondary institution would be an asset.
  • Demonstrates clear, concise, and professional written, verbal, and email communication across all levels of the organization.
  • Skilled in reviewing, organizing, and interpreting large volumes of complex information,
  • Advanced user of Microsoft Office applications with experience in contract management systems and related software tools.
  • Proven ability to manage the full lifecycle of contracts, including drafting, reviewing, negotiating, and tracking agreements.
  • Strong critical thinking and problem-solving skills, with the ability to assess risks, identify solutions, and make sound decisions.
  • Capable of working independently under pressure, managing multiple priorities, and meeting tight deadlines with minimal supervision.
  • Maintains a high level of integrity and discretion when handling sensitive or confidential information.
  • Committed to delivering responsive, respectful, and solution-focused support to internal and external stakeholders.
  • Skilled in resolving disputes, facilitating consensus, and negotiating favourable outcomes.
  • Builds trust-based relationships and works effectively within cross-functional teams.
  • Applies creativity and ingenuity to develop practical solutions and improve processes.
  • Uses logic and empathy to evaluate all sides of an issue, ensuring fair and balanced decision-making.
  • Demonstrated commitment and understanding of human rights, equity, diversity, inclusion, and accessibility.
  • The ability to communicate and work effectively with diverse students, employees, and communities.
