##Job summary

Advanced Research Collaboration for Health Integration, Medical Exploration, and Data Synthesis (ARCHIMEDES) is a new national health data platform designed to collect, ingest, manage, or share multimodal brain, heart and health data, from universities and research institutions across Canada.

Working closely with the ARCHIMEDES Co-Chairs, and reporting to the General Counsel, the Legal Counsel will be responsible for reviewing, drafting, and negotiating data-related agreements with collaborating institutions. The role provides legal advice on privacy, data governance, and emerging legal issues, and supports the development of policies and processes that enable compliant legal and ethical data sharing across Canada and internationally.

##Key responsibilities

###Contract development and management

  • Review, draft, and negotiate data contribution and data access agreements with universities, hospitals, and research institutions.
  • Maintain and update standard ARCHIMEDES agreement templates to support consistency and efficiency.
  • Identify and resolve contractual issues to support timely onboarding of data contributors and data users.
  • Ensure agreements align with applicable privacy, data governance, legal, and ethical requirements.

###Collaboration and governance

  • Work closely with internal teams, including privacy, information security, research ethics, and data governance, to address ARCHIMEDES legal and contractual matters.
  • Liaise with external institutions to support agreement execution and collaboration.
  • Provide guidance and information to stakeholders on agreement processes and requirements.
  • Participate in governance and advisory committees related to ARCHIMEDES.

###Policy, risk and advisory

  • Provide practical, solution-oriented legal advice to support program operations and decision-making.
  • Conduct legal research and analysis on privacy, data sharing, and emerging legal issues.
  • Develop and review of policies, procedures, and related documentation.
  • Serve as the primary point of contact for institutions on legal and contractual inquiries related to ARCHIMEDES.

##Required qualifications

  • Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from an accredited University or equivalent qualifications.
  • Licensed to practice law in Ontario and/or membership in good standing of the Law Society of Ontario.
  • At least two (2) years experience reviewing, drafting and negotiating contracts and other legal documents.
  • Effective negotiation, problem-solving, conflict resolution and communication skills.
  • Ability to work independently and manage projects effectively.
  • Demonstrated ability to be solution-oriented, work cooperatively and effectively with all team members.
  • Superior written and verbal communications skills.
  • Excellent analytical skills with attention to detail.
  • High degree of judgment, realism, professional ethics and integrity.

##Preferred qualifications

  • At least two (2) years legal experience, ideally in corporate law, privacy law, clinical research and/or health law.
  • In-depth knowledge of contract law, privacy law, health law, and data protection principles and practices.
  • Knowledge of applicable ethical and legal compliance requirements governing human research (e.g. Tri-Council Policy Statement) preferred.
  • Ability to proactively influence internal and external stakeholders.
  • Experience developing policies and procedures preferred.
  • Experience providing solution-oriented legal advice taking a risk-based approach.
  • Certified Information Privacy Professional/Canada preferred.
