Paralegal / Closing Specialist (Closings & Transactions)

This is a 100% in-person position at our office in Toronto’s financial district.

We deliver advisory and execution services across a wide range of secondary transactions, including:
- Limited partner solutions: full and partial asset/portfolio sales, secondary lending, preferred equity solutions, and joint ventures.
- General partner solutions: LP liquidity offerings and tenders, fund restructurings and continuation vehicles, secondary lending and credit facilities, preferred equity solutions, and structured liquidity programs.
Our transactions involve investments in private equity , private credit , real estate , real assets , infrastructure , funds of funds , secondary funds , and co-investments .
OPPORTUNITY
We are seeking a Paralegal / Closing Specialist to join our growing legal/closing team. You will work closely with our existing Legal Counsel and the closing team to manage transactions from mandate to close, coordinating among buyers, sellers, general partners (GPs), and external counsel. This is an excellent opportunity to build hands-on expertise in one of the fastest-growing sub-segments of the capital markets.
The secondary market has expanded from roughly $3B in 2000 to $100B+ annually since 2021. As part of a boutique in this dynamic niche, you will take on meaningful responsibility and directly impact client outcomes.
Deal Execution & Closings
- Lead and support closing workstreams across multiple transactions by maintaining detailed checklists, timelines, and critical path items.
- Coordinate and manage key documents, including NDAs, engagement letters, and fee agreements (with legal review as required).
- Coordinate and compile PSA schedules and pre-closing notices to support transaction execution.
- Coordinate and track the status of transfer agreements, signature packages, capital activity, and all other closing deliverables.
GP Outreach & Stakeholder Management
- Conduct and log GP outreach, track responses, resolve transfer-related questions, and secure buyer list approvals.
- Notify GPs of chosen buyers, initiate transfer processes, and serve as the primary liaison among buyers, sellers, GPs, and their respective counsel to ensure alignment and meet closing deadlines.
- Deliver concise, consistent weekly client updates on progress and next steps.
Documentation, Compliance & Reporting
- Maintain accurate internal records of GP confirmations, closing confirmations, and invoicing.
- Record and manage transaction data in the firm’s proprietary systems while enhancing templates, procedures, and process controls.
- Conduct and coordinate KYC/AML checks on buyers and sellers throughout the closing process.
Process & Platform Improvements
- Identify, recommend, and implement enhancements to the closing function (e.g., templates, trackers, workflows).
- Collaborate cross-functionally with deal teams and operations to streamline processes, reduce execution risk, and drive efficiency.
- Support ad hoc closing and operational projects as required.

OUR REQUIREMENTS
- Paralegal diploma/certificate or equivalent training; licensing with the Law Society of Ontario (LSO) is an asset but not required.
- 0-3 years of experience as a paralegal, legal assistant, or in a closing/transaction support role.
- Strong ability to organize and track complex workstreams, anticipate issues, and drive to deadlines.
- Comfort reviewing NDAs, engagement/fee letters, and transaction documents with attention to detail (legal review provided where required).
- Clear, professional written and verbal communication with clients and counterparties.
- High attention to detail, accuracy, and ownership mindset; comfortable working autonomously in a fast-paced environment.
- Proficiency with Microsoft Word/Excel/PowerPoint.
- Demonstrated interest in private markets and growing with the firm.
