The salary range shown above reflects the expected compensation for this position. The final salary offered will be determined based on a holistic assessment of the candidate’s experience, education, training, and alignment with the role’s requirements. For positions covered by a collective agreement, placement within the range will follow the applicable step or classification.
The Senior Commercial Services Counsel provides strategic day-to-day commercial legal advice, consultation, research and guidance to internal stakeholders and business teams in the areas of commercial, procurement, and Information Technology law and compliance. They act as the primary contact for assigned client groups and prepares legal responses, documentation and assistance in the drafting and execution of all legal documents. In collaboration with internal stakeholders, the incumbent leads contract development and negotiations on behalf of the organization in a quality, cost-effective and timely manner. They also routinely collaborate with the organization’s regulatory and litigation groups in advising internal clients, as well as with the real property and construction arms of the Business Law Services teams.

KEY RESPONSIBILITIES:

Works with assigned client groups and internal stakeholders to provide accurate and timely commercial legal advice that supports business objectives and mitigates corporate risk in the contracting of commercial terms and conditions on behalf of the corporation and its affiliates

Delivers clear and practical legal opinions, interpretations, and advice on legal matters that involves interpreting facts, precedents, and evaluating situations in compliance with policies as well as all applicable laws and statutes

Drafts, reviews and negotiates commercial agreements/arrangements with external vendors/parties and provides consultation to achieve timely, quality, cost-effective performance (e.g. new commercial contract terms and conditions, operational and third-party agreements including offers to connect, third-party attachments, building metering, requests for proposals or quotation in the procurement context, master services agreements, sales/disposal of assets, review of existing contract terms and conditions, amendments and professional services agreements)

Conducts legal research on emerging issues, best practices, current case law and renders interpretations of statutes, regulations to inform commercial legal services strategy and issues management activities

Participates in policy development where legal services are provided

Liaises with external counsel to negotiate and execute agreements in support of the organization’s capital and maintenance work programs and customer-initiated projects
REQUIREMENTS:
-
Bachelor of Laws (LL.B) or Juris Doctor (JD)
-
A member in good standing with the Law Society of Ontario
-
Three (3) or more years of post-call experience in commercial or corporate law, in one or more the following areas: procurement, information technology, and construction
-
Knowledge of corporate and commercial law, with preference to knowledge of commercial transactions and contracting for the information technology space, including, but not limited to, software licensing, SaaS, and master services agreements
-
Experience in a regulated environment is considered an asset

Knowledge of legislation and common law impacting the organization
-
Proven judgment, analytical and problem-solving and decision-making skills, with the ability to distill legal information and frame for legal and business user consumption

Strong oral and written communication skills
-
Proven negotiation and stakeholder management skills
-
Strong project management skills, with the ability to manage competing priorities and work in a fast-paced environment
-
Strong relationship management skills to build trusted relationships with leaders, internal and external stakeholders

This position is based in a hybrid environment allowing for remote work two days per week, based on business needs. Employees will be required to come onsite Tuesday to Thursday. You are expected to live in Ontario and within reasonable commuting distance of the office.
