By helping users reduce technique-related errors, our technology helps prevent irreversible oral tissue damage, including enamel wear and gum recession, while making healthy brushing intuitive, comfortable, and consistent.
As we prepare for commercialization and future fundraising, we are seeking an experienced Fractional General Counsel to help build a strong legal foundation for our growing company.
Position Summary
The Fractional General Counsel is a remote, part-time, on-demand legal advisor who will partner closely with the Founder & CEO to support the company's legal, corporate, regulatory, and fundraising activities.
This role is ideal for a lawyer with experience advising early-stage startups, particularly in healthcare, medical devices, or other regulated industries. The successful candidate will provide practical, business-focused legal advice while helping the company become investor-ready.
Key Responsibilities
Serve as the company's primary legal advisor on corporate, commercial, regulatory, compliance, and governance matters. Maintain corporate records, including the corporate minute book, share registry, resolutions, and governance documentation. Draft, review, and negotiate commercial agreements, including but not limited to: Non-Disclosure Agreements (NDAs), Contractor and consulting agreements, Intellectual Property Assignment Agreements, Moral Rights Waivers, Advisor agreements, Letters of Intent, Pilot agreements, Shareholder and vendor agreements, SAFE agreements and SAFE Side Letters, Other commercial contracts as required. Support fundraising activities by preparing legal documentation and corporate due diligence materials for prospective investors. Advise on venture financing matters, including SAFEs, convertible securities, founder equity, vesting arrangements, and capitalization issues. Develop and maintain legal policies and governance processes that support the company's growth. Identify legal risks and provide practical recommendations to leadership. Coordinate with external legal counsel and other professional advisors when specialized expertise is required. Provide ongoing legal support as mutually agreed.
Qualifications
Required Licensed to practice law in Ontario, Canada. Juris Doctor (JD), LL.B., or equivalent law degree. Experience advising early-stage or pre-revenue startups. Strong knowledge of Ontario corporate law and corporate governance. Experience supporting startup fundraising, including SAFEs, convertible instruments, and investor documentation. Experience preparing companies for investor due diligence. Demonstrated experience drafting, reviewing, and negotiating commercial agreements. Strong understanding of intellectual property ownership, invention assignment, confidentiality, and commercialization strategies. Excellent communication, negotiation, and stakeholder management skills. Ability to provide practical, business-oriented legal advice in a fast-paced startup environment.
Preferred
Experience serving as in-house counsel or fractional general counsel for startups. Experience advising health technology, medical device, or regulated healthcare companies. Familiarity with Health Canada and/or FDA regulatory pathways for medical devices. Experience supporting clinical studies or clinical validation programs, including preparation of related agreements. Experience developing legal documentation, including Terms of Use, Privacy Policies, and related compliance documentation. Familiarity with Canadian privacy laws applicable to health technology companies.

In response, we designed a toothbrush that seamlessly embeds technique guidance into the brushing experience itself. The result is a simple, intuitive solution that teaches and reinforces proper brushing behavior, transforming prevention into an easy, sustainable habit anyone can follow.
