About the role

Description Position at Torex Gold Resources Inc. About The Role The Manager, Corporate Development, plays a key role in supporting Torex Gold’s growth strategy by proactively identifying and evaluating potential mergers and acquisitions across the mining sector. The role is responsible for originating and assessing acquisition opportunities, conducting financial and strategic analysis, and advancing opportunities through structured evaluation processes.

Working closely with the SVP, Investor Relations & Corporate Development, and senior leadership, the Manager will coordinate cross-functional due diligence activities and develop insights that support strategic decision-making. This position combines financial analysis, technical collaboration, and market intelligence to help identify opportunities that align with the Company’s long-term growth objectives.

We are a Canadian mining company engaged in the exploration, development, and production of gold, copper, and silver from our flagship Morelos Complex in Guerrero, which is currently Mexico’s largest single gold producer. The Company also owns the advanced-stage Los Reyes gold-silver project in Sinaloa, Mexico, and recently acquired a portfolio of early-stage exploration properties, including the Batopilas and Guigui projects in Chihuahua, Mexico, and the Gryphon and Medicine Springs projects in Nevada, USA.

What We're Looking for:

Education

  • University degree in Mining Engineering, Geological Engineering, Metallurgical Engineering, Finance, or a related discipline.
  • CFA, CPA/CA, or P.Eng designation is considered an asset.

Experience

  • Minimum 5 years of experience in corporate development, investment banking, equity research, or mining-related finance roles.
  • Experience evaluating mining assets and understanding the technical and economic drivers of mining projects is strongly preferred.
  • Strong financial modeling, valuation, and analytical capabilities.

Skills

  • Strong written and verbal communication skills with experience preparing presentations for senior executives.
  • Ability to synthesize technical, financial, and strategic information into clear insights.
  • Ability to coordinate cross-functional teams and manage multiple due diligence processes simultaneously.
  • Proficiency with Microsoft Office Suite and financial databases such as Capital IQ and SNL Mining.
  • Strong strategic thinking and problem-solving abilities.

Key Accountabilities

Identify and Initiate Potential Acquisition Opportunities

  • Proactively screen and identify potential acquisition opportunities across exploration, development, and producing assets.
  • Advise the CEO, CFO, and SVP, Investor Relations & Corporate Development on emerging M&A opportunities.
  • Maintain internal portfolios of exploration, development, and producing companies and assets to support strategic analysis.
  • Monitor industry trends, market developments, and competitive activity related to consolidation and M&A in the mining sector.
  • Develop and maintain relationships with management teams of targeted companies and industry participants.
  • Lead the Technical Development Roundtable with internal technical teams to gather early feedback on development-stage opportunities.

Desktop Analysis

  • Develop and maintain screening tools and databases used to evaluate potential acquisition opportunities.
  • Build and maintain complex financial models to assess potential M&A targets and support valuation analysis.
  • Conduct preliminary due diligence using public data sources to identify key risks and opportunities.
  • Leverage financial advisors and external consultants to gather market intelligence and industry insights.
  • Prepare presentations and analysis for the CEO, CFO, and SVP, outlining asset value, shareholder structure, and potential transaction scenarios.

Detailed Due Diligence

  • Lead the development and continuous improvement of due diligence systems and processes.
  • Manage the due diligence data room and coordinate the flow of information across internal teams.
  • Assemble and coordinate cross-functional teams, including Finance, Legal, ESG, HR, and Technical Services, to evaluate opportunities.
  • Coordinate external advisors and consultants involved in due diligence activities.
  • Lead the negotiation and execution of confidentiality agreements and due diligence schedules.
  • Develop and manage multi-stage due diligence plans to support potential transactions.

Corporate Development Leadership

  • Develop and maintain networks with investment bankers, analysts, industry experts, and corporate development peers.
  • Participate in industry conferences, investor meetings, and networking events to gather market intelligence and identify opportunities.
  • Provide insights on industry trends, competitive dynamics, and potential strategic opportunities.

Maintain Corporate Data Room

  • Maintain and regularly update the corporate data room to ensure accuracy and completeness of information.
  • Ensure documents are organized and accessible for internal stakeholders and external advisors as required.
  • Identify opportunities to improve data management processes through new platforms, tools, and technologies.

Executing on Transactions – Negotiating and Executing

  • Play a leadership role in transaction execution from initial evaluation through closing.
  • Coordinate transaction processes, including negotiations, documentation, and deliverables.
  • Work closely with internal stakeholders and external advisors to ensure the timely completion of transaction milestones.

Marketing Opportunities to Executives and Board

  • Develop materials and presentations to communicate acquisition opportunities to the Executive Team and Board of Directors.
  • Present analysis of key risks, opportunities, and strategic considerations related to potential transactions.
  • Collaborate with senior leadership to ensure proposed opportunities align with corporate strategy.

The posted salary range represents our target pay for this role. Final compensation will be determined based on the comprehensive review of the candidate’s qualifications, skills, and experience, as well as internal equity and external benchmark data for comparable roles.

Torex is an intermediate gold producer based in Canada, engaged in the exploration, development and operation of its 100% owned Morelos Gold Property, an area of 29,000 hectares in the highly prospective Guerrero Gold Belt located 180 kilometers southwest of Mexico City.

The Company’s principal assets are the El Limón Guajes mining complex (the “ELG Mine Complex”) and the Media Luna deposit. The ELG Mine Complex is a 14,000 tpd gold mine which has been in production since 2016 and which comprises three open pits, an underground mine, and a CN/CIP processing plant.

The Media Luna deposit (“ML deposit”) is an advanced stage development project which is located 7 kilometers south of the ELG Complex. Current resource for the ML deposit is 51.5 Mt at a grade of 4.48 gpt Au Equivalent, Torex issued a Preliminary Economic Assessment in 2018. The property remains 75% unexplored.
