- Juris Doctor (JD) degree and active membership in an applicable law society or U.S. state bar
- 3–5 years of post-qualification experience, preferably with a mix of law firm and in-house roles
- Demonstrated ability to independently negotiate complex business transactions under tight deadlines
- Strong analytical and problem-solving skills, with the capacity to address complicated legal and business challenges
- Excellent judgment, integrity, and discretion in handling sensitive matters
- Superior written and verbal communication skills, with the ability to explain legal concepts to non-legal audiences

- Interest or experience in process improvement, legal technology, and prompt engineering is an asset

- Familiarity with Canadian and U.S. information privacy laws and compliance (e.g., HIPAA, PHIPA, and provincial equivalents)
- Knowledge of Canadian and U.S. health care regulatory frameworks
- Prior exposure to privacy, cybersecurity, and data protection issues in a technology-driven environment
What the job involves
- The Legal Counsel will play a pivotal role in supporting the company’s legal and business objectives by providing expert legal advice, drafting and negotiating a variety of commercial and technology agreements, and ensuring compliance with applicable laws and regulations
- The Legal Counsel will contribute to process improvements, risk management, and the overall success of the Legal Department, while helping drive innovation and operational excellence
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Master Services Agreements (MSAs)
- Partnership and collaboration agreements
- Confidentiality and Non-Disclosure Agreements (NDAs)
- Business Associate Agreements (BAAs)
- SaaS agreements, software licenses, and technology agreements
- Subcontractor and supplier agreements
- Statements of Work (SOWs) and related documentation
- Advise internal stakeholders on legal risks, contractual obligations, and compliance requirements for new products, services, and business initiatives
- Provide practical, business-oriented legal advice and solutions
- Conduct legal research and provide guidance on emerging legal issues, including privacy, data security, and regulatory matters
- Support the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations
- Assist with Canadian and U.S. information privacy and healthcare regulatory compliance (e.g., HIPAA, PHIPA, and provincial equivalents)
- Participate in training and knowledge-sharing sessions to promote legal awareness and best practices across the organization
- Assist with the management and resolution of disputes and pre-litigation matters
- Coordinate with external counsel as needed
- Contribute to process improvement initiatives within the Legal Department, including the adoption of legal technology and automation tools
- Provide support on special projects and other duties as assigned by the Associate General Counsel
- Demonstrate flexibility to assist the Legal Department in its activities and mission as needs arise
