About the role

Overview:

Our Transaction Services team helps our clients cultivate value from mergers and acquisitions (M&A) with a forward-thinking approach to deal planning. We are looking to grow our team in Calgary, AB, with a deeply capable Senior Consultant/Consultant.

Our team helps buyers, sellers, private equity investors, and lenders in developing and executing on their M&A strategies. As trusted advisors to our clients, we keep in regular dialogue with the CEO, CFO, Principals, and other primary decision makers to keep them well consulted through the deal lifecycle.

We offer our clients start-to-finish support in the acquisition/disposition process, including coordination and implementation of financial due diligence investigations, input on strategy, identification and mitigation of risk areas, and input and advice on contract terms geared to reduce risks. We also assist our clients with a host of services to help close the transaction and prepare for post-deal integration.

What you will do:

As a Senior Consultant/Consultant within our Transaction Services team, you will participate in multi-disciplinary projects to deliver tailored M&A advisory services. Your responsibilities include:

  • Conduct financial due diligence engagement as a part of M&A transactions;
  • Prepare and deliver “Quality of Earnings” analysis;
  • Advise your clients on Target Working Capital for deal closing purposes;
  • Identify debt-like items, advise on deal closing mechanisms;
  • Interpret and analyze information memoranda, business plans, publicly available information on the target business;
  • Review and analyze historical trading, cash flow, capital expenditure, forecasts and underlying assumptions;
  • Identify and report key issues to decision-makers at clients in written and verbal reports;
  • Undertake smaller assignments or assist on larger assignments reporting to a manager, senior manager, or a partner, and working on engagement teams with senior client executives, attorneys, and investors;
  • Establish credibility and develop relationships with current and prospective clients;
  • Provide support/assistance for proposals;
  • Contribute to the effective working of the team and development of team morale, and
  • Occasionally support one of our other business units in a cross-functional role (e.g. Valuations, Corporate Finance, Restructuring, Global Infrastructure Advisory Group, etc.).

What you bring to this role:

  • Must have an accounting professional designation (CPA) or working towards one;
  • Senior consultant: 1+ years of experience within transaction services and 2+ years of total accounting/finance experience in a consulting and/or corporate environment;
  • Consultant: 1+ years of total accounting/finance experience in a consulting and/or corporate environment. Strong preference will be given to candidates with Assurance / Audit experience.
  • Working knowledge of IFRS, ASPE, and US GAAP;
  • Financial and commercial awareness with strong analytical skills;
  • Strong project management skills;
  • Effective verbal and written communication skills at a business level; and
  • Proficient in advanced Microsoft Excel functionalities, including creating dynamic FDD databooks using complex formulas, leveraging Power Query for data transformation, designing pivot tables for financial analysis, and automating workflows using VBA macros.
