We’re looking for a Legal Counsel

The Legal Counsel reports to the General Counsel and will provide legal services to support the Teekay Group from our Vancouver office. Areas of responsibility include Securities Law, Corporate Law, transactional support and a willingness to learn Maritime Law as necessary. The Legal Counsel will work with a paralegal and provide all levels of support from simple day-to-day tasks to more complex shipping related transactions in a fast-paced working environment.

Some of the things you’ll be doing

Securities Law

  • Manages Teekay’s public company structure from a compliance perspective including maintaining all related policies and procedures.
  • Reviews and contributes to the preparation of public company filings such as annual 20-F, quarterly 6Ks, earnings releases and presentations and proxy statements.
  • Advise management on Securities Law related issues and liaises with external counsel on Securities Law matters as necessary.
  • Manages legal budgets in a cost-effective manager; engages external legal counsel within signing limits.

Corporate

  • Assist with the corporate administration of 100+ Teekay Group entities including advising on structuring and managing any required approvals and resolutions.
  • Support the Tax and Treasury teams as required with implementing corporate structures and documenting cross-border cash flows.
  • Assist with the drafting and review of minutes for board and committee meetings of public and subsidiary entities in the Teekay Group, as directed.
  • Manages the preparation and filing of economic substance requirements in the various jurisdictions in which Teekay operates
  • Provides general legal and risk input to Teekay’s management team

Transaction Support

  • Responsible for legal review of financing transaction documents including secured loans, leases, and other financing structures

  • Liaise with corporate teams to ensure timely execution of documents related to public offerings

  • Provides legal support as needed on any corporate M&A transactions

  • Miscellaneous Legal Resources: possible areas may include labour and employment, immigration, environmental, tax, intellectual property and so on.

    What we are looking for

    Essential:

  • Graduate from an accredited law school; member of at least one bar or law society

  • Good standing with the Law Society of BC

  • Law degree in English Law, other Common Law jurisdiction or United States.

  • Graduate from an accredited English law or Canadian law school; minimum 2 years experience post call to the Bar.

  • Major law firm experience preferred

  • Three to five years of legal experience with a recognized law firm or company, with a focus on corporate finance, securities, and/or corporate law

  • Results oriented and demonstrated ability to resolve legal issues in an efficient manner

  • Strong organizational, analytical and time management skills

  • Strong team player who thrives in a fast-paced dynamic environment

    Desirable:

  • Comfortable in dealing with complex corporate structures

  • Excellent interpersonal and communication skills

  • Ability to work independently with minimal supervision

  • Able to meet tight deadlines in various global time zones.

  • Patience, attention to detail, responsiveness and the ability to work collaboratively.

  • Excellent knowledge of contracts law and superior drafting skills

  • Ability to independently prioritize tasks, make decisions and deliver results.

  • Excellent verbal and written English communication skills.

  • Desire to learn, especially to develop an understanding of maritime law and the law in new jurisdictions.

  • Willingness to travel, internationally, when required.

  • This is a full-time opportunity based in our Vancouver office.
  • This role is hybrid which currently includes a mix of working in the office on our core office days, Tuesday, Wednesdays and Thursdays, and working from home Mondays and Fridays
