Group Company Secretary
Corporate Level: Director
Location: London

Reporting to: Managing Director
Key Role Responsibilities:
- Ensuring the corporate entities in the UK and Europe comply with their respective company secretarial and administrative responsibilities.
- Managing relationships with UK and overseas administrators, as well as taking overall responsibility for directing strategy appointments.
- Responsible for reporting the status of all statutory filing requirements, monitoring changes in statutory regulations, as well as planning for and implementing procedural changes arising from these.
- Work with stakeholders across the business to enhance processes, tools, systems, and methods for tracking, managing, and reporting progress on the completion and delivery of statutory filings, to transition additional processes.
- Stay on top of emerging issues, regulatory changes and company secretarial market practices in the real estate industry, providing updates to key business leaders as relevant.
- Recommend, develop and implement policies and other strategies to ensure compliance and mitigate or reduce risk.
- Work with relevant internal and external advisors to set up and support new corporate entities in the UK and Europe.
- Oversee and coordinate the liquidation of entities no longer required by the business.
- Review corporate documents to opine on transactions that require board consent for each entity, board meeting frequency and dthe elegation of authority process.
- Support legal, compliance, and finance teams with transactions such as acquisitions, financings, and restructuring from a corporate perspective.
- Communicate and work with the legal and compliance team in Europe and the US as needed.
Experience & Skills:
- ICSA Qualified or similar qualification.
- Law degree or similar qualification.
- Significant experience in a senior company secretarial role with an understanding of commercial processes, procedures and operational drivers.
- Knowledge of both UK and overseas incorporated entity compliance requirements.
- Sound understanding of corporate governance issues.
- Strong organisational and project management skills to juggle tasks and manage the workload, with the ability to meet deadlines.
- Good attention to detail and the ability to communicate clearly and confidently at all levels.
- Able to manage negotiations with a range of stakeholders.
- A positive team player and attitude, with an adaptable and flexible approach, along with the ability to work collaboratively to drive results and support the wider team and business objectives.
- Experience gained in private equity or real estate would be beneficial for this role.
