We are currently seeking a Securities Law Clerk to join our Downtown Toronto office. This is an excellent opportunity for a detail-oriented and experienced clerk to support a collaborative corporate and securities law practice. The successful candidate will work closely with lawyers and clients on a range of transactional and regulatory matters, ensuring filings and documentation are prepared and submitted with accuracy and professionalism.

What you will be doing:

  • Preparing and submitting securities-related filings, including exempt distributions, applications for exemptive relief, and other regulatory filings through SEDAR+ and SEDI.
  • Coordinating the preparation and filing of continuous disclosure documents such as financial statements, MD&As, and press releases.
  • Assisting with due diligence, drafting regulatory forms, and compiling closing materials for public offerings, private placements, and other corporate transactions.
  • Maintaining corporate records, tracking filing deadlines, and updating internal precedents and templates.
  • Staying current with changes to securities legislation and supporting the legal team in implementing regulatory updates.
  • Liaising with lawyers, clients, and external parties to ensure timely and accurate communication throughout the transaction process.
  • Providing occasional support for file openings/closures, docket entries, and coordination of billing-related items in line with firm policies.

Qualifications:

  • Law Clerk diploma from an accredited institution or ILCO Certification.
  • A minimum of 3 years’ experience supporting a securities or capital markets practice in a law firm
  • Experience with securities regulatory filings and electronic platforms such as SEDAR+ and SEDI.
  • Demonstrated ability to manage complex transactional work independently.
  • Excellent organizational skills and attention to detail, with the ability to balance multiple deadlines.
  • Strong written and verbal communication skills, with a high level of discretion and professionalism.
  • Proficient in Microsoft Office, particularly Word, Excel, and Outlook.
