Are you passionate about governance and thrive in a role that supports executive leadership and Board operations? We’re seeking a Board Manager to join our team on a temporary basis for a period of 15 months, to play a key role in supporting our Board of Directors and corporate governance framework.
Reporting to the Vice President, Legal & Governance, the Board Manager is a trusted advisor to senior leaders, guiding them through Board interactions and ensuring the highest standards in Board material preparation and meeting coordination.
Key duties include:
Governance & Board Support
- Serve as the primary liaison between the Board, Executive Team, and key partners on all Board-related matters
- Coach Executives and Managers — especially those new to Board interactions — on the tone, structure, and expectations of Board communications
- Review and refine Board materials to ensure clarity, professionalism, and compliance with governance standards
- Coordinate the preparation and distribution of Board and committee agendas, minutes, and resolutions
- Attend Board and committee meetings, minute proceedings, and ensure accurate wording of resolutions
- Certify and securely store official Board records, including minutes and resolutions
Meeting & Committee Coordination
- Develop annual meeting schedules for the Board and its committees, ensuring alignment with organizational priorities
- Plan and execute logistics for Board meetings, including venue coordination, technology setup, and distribution of materials
- Track and follow up on Board member commitments and decisions
- Manage remuneration tracking for Directors and oversee Board-related evaluation processes
Orientation & Stakeholder Engagement
- Manage onboarding and orientation for new Board members, including preparation of Director information packages
- Draft scripts for Board and committee chairs in consultation with the Vice President, Legal & Governance (VP L&G)
- Maintain and update the Board portal with current materials and communications
Support Corporate Records & Compliance
- Maintain corporate records and share registers, reporting changes to the Registrar of Companies and other authorities
- Ensure the organization’s legal status remains active and compliant with statutory requirements
- Prepare and submit filings related to annual general meetings, extraordinary meetings, and consent resolutions
Access to Information & Protection of Privacy
- Support the administration of the Freedom of Information and Protection of Privacy Act (FIPPA)
- Respond to FOI requests within statutory timelines, assess suitability for release, and redact third-party personal information as needed
Budgeting & Reporting

Prepare the annual portfolio budget and monitor expenditures related to Board activities

Draft reports and correspondence on behalf of the VP Legal & Governance

Research governance and procedural matters and prepare recommendations for consideration by the Board or shareholders
What you will bring:
-
Bachelors degree with a minimum of 5 years experience in governance, public safety, local government or business; or an equivalent combination of education, training and experience
-
Practical experience in similar roles, with manager-level responsibilities in governance and Board support

Knowledge of the functions and objectives of the Boards and relevant committees and of the rules and procedures governing meetings
-
Demonstrated, hands-on experience in public sector governance, including the political dimension of the involvement of elected officials
-
Ability to provide administrative support and procedural guidance to the Board and various committees and to follow up on member commitments
-
Ability to establish and maintain effective working relationships with a wide variety of internal and external contacts at senior levels
-
Ability to communicate effectively orally and in writing and to prepare clear, concise, and complete reports and correspondence on matters related to the work

Ability to perform report management functions and to research and advise on a variety of matters related to the work
-
Prior experience or exposure to managing FIPPA requirements in an organization and overseeing the completion of FOI requests is an asset but not essential

Security Requirements:
As a condition of employment at E-Comm, the required Police Security Clearance applicable to the position must be acquired and maintained. This is a process carried out by our law enforcement partner agencies, facilitated by E-Comm. The minimum residency in Canada to qualify for this position, as established by our law enforcement partner agencies, is three (3) years.
To qualify for this process, a candidate may either be a Canadian Permanent Resident [PR] or Canadian Citizens. We regret any candidates under Student, Visitor, or Work Visas are not eligible for consideration.
Vaccination Requirements: E-Comm 911 has a vaccination policy that is currently suspended. However, should the policy be reinstated, it will be a requirement for all current and future employees.
