Reports to: Commercial Director
The Contract Manager will be responsible for:
- Overall responsibility for Contracts, Subcontracts & Risk Management
- Manage the commercial aspects on behalf of the consortium and in the preparation, review, and negotiation of agreements.
- Identify and analyze potential commercial risks and liabilities associated with proposals, ongoing projects, and supplier agreements.
- Draft or amend contracts and commercial agreements.
- Review and negotiate commercial agreements, including requests for quotation, requests for proposals, confidentiality agreements, pre-bid agreements, purchase orders, subcontracts, contracts, and having regard for their practical application and inherent risks, make recommendations to operating staff during the estimating, pre-award, construction, and post-construction phases.
- Interface with clients, partners, and internal stakeholders as required, including technical, risk assessment, legal, cost estimating, insurance, bond, taxation, treasury, and finance functions.
- Prepare project-specific contract administration manuals based on project templates.
- Provide commercial support in contract administration and in the preparation of narratives and entitlement documentation and resolution of claims.
- Identify, document, and quantify changes in the Work and claims—with assistance from the project staff.
- Act as the point of contact to the client for contractual matters.
- Assist in the formation and administration of contracts with Subcontractors and ensure that required and relevant terms and conditions are flowed down to subcontractors.
- Assist project staff with the interpretation and practical application of contract documents
- Ensure flow down of the prime contract terms to other related contracts and ongoing projects.
- Access confidential information to support medium- and long-term financial analysis and planning.
- Assist the project teams in the understanding and interpretation of the contract language.
- Analyze the risk related to various agreements to reach an acceptable position on commercial terms.
- Understand various financial aspects such as liquidated damages, liabilities, and bonding.
- Support the development and implementation of the communication strategy with the sponsor and the public authority, while taking into consideration the DB legal and commercial issues.
- Coordinate with team members to establish agendas to be addressed with the authority at commercial meetings you attend.
- Implement strategies in collaboration with project team members.
- Participate in the integrity of the process and foster positive relationships internally and externally. Supervise and provide support to administration project personnel, ensuring that personnel are trained, qualified, and competent to perform their assigned tasks.
- Document significant events on Project
- Prepare, develop, and manage timely contractual correspondence and notices in accordance with contractual requirements.
- Develop and maintain efficient systems and processes for identifying and capturing any potential commercial issues and changes.
- Maintain a current log of all issues and change orders for each contract.
- Ensure accurate issue files for all contractual/commercial issues are maintained for each contract.
- Liaise with and provide guidance on contract matters to the supervisor, other senior managers, and other team members.
- Provide presentations and workshops, as required by the Supervisor, to the employees with respect to contract administration, including corporate policies, procedures, and guidelines, change and delay management
- Contribute to the revision and maintenance of Operating Policies and procedures.
- Obtain the assistance of the appropriate Legal department, as required
- Manage import/export compliance requirements for the project, as required, Supervisory
EDUCATION AND QUALIFICATIONS
- Post-secondary education in Engineering, Marketing, law, or equivalent
- 10 + years of experience in the industrial engineering, procurement, and construction industry
- 7+ years of P3, Design-Build contracts in Transit or Infrastructure in Canada
- Experience working in joint venture or alliance contract agreements is preferred.
- Demonstrated experience managing professional and administrative staff
- Sound knowledge of company operations and understanding of strategic direction
- Knowledge of construction planning, scheduling, and risk management.
JOB REQUIREMENTS
- Provide leadership to Commercial staff and direct reports.
- Advanced knowledge of construction law, negotiating, and drafting major construction contracts
- A solid understanding of public procurement processes and policies, as well as proposal processes.
- Knowledge of contract administration procedures
- Knowledge of labour obligations and their impact on the corporation
- Working knowledge of CGC—Contract Administration modules
- Strong written and verbal communication skills.
- Advanced technical skills in MS Word, MS Project, Excel, and PowerPoint.
- Strong initiative and ability to work independently and collaborate successfully in a team environment.
- Superior organizational and project management skills with proven ability to manage multiple projects through to completion.
- Ability to self-manage a project or process and complete tasks with minimal supervision.
- Flexibility to accommodate varied hours that accompany a deadline-driven environment.
- Conscientious with strong attention to detail.
