Summary
We are seeking a Senior Business and Corporate Lawyer to support our Americas Division.
This role can be based anywhere in the USA and/or Canada. In this role the main responsibilities are:
- Will lead contract negotiation processes and build strong collaborative relationships internally and externally to drive strong, time-sensitive results.
- Draft, review, and negotiate business contracts to support business objectives and policies of the firm; lead and collaborate throughout contracting processes by analyzing significant business, financial, and legal risks; develop and communicate creative solutions and mitigation strategies for key negotiation points.
- Collaborate with department representatives and firm leaders to understand upcoming contract needs for new deals and renewals; prioritize deal support in planning process; implement legal strategy to focus on high value activities.
- Support the Contract Manager in initiating, drafting, administering, negotiating, analyzing, revising, closing, and tracking contracts.
- Supports the Contract Manager with the preparation, negotiation, and administration of commercial customer contracts.
- Ensure proper contract fulfillment in accordance with company policies, legal requirements, and customer specifications.
- Maintain a strong working knowledge of the FAR/DFARS and accounting practices including audits, rates, and analysis of contract cost data.
- Oversee guidance to project/program managers to ensure contractual compliance with all awarded contracts.
- Provide support to executives by providing review of government solicitations to analyze protocols and resources needed to comply with proposed obligations.
- Participate in proposal preparation, review, and bid/no bid analysis at a senior level
- Ensure key contracts, firm procurement initiatives, and sourcing strategies are aligned with the overall priorities of the firm’s legal function, paying special attention to privacy/data security and risk management practices as they develop.
- Provide legal advice on corporate matters and corporate governance,
- Ensure compliance with all relevant laws and regulations applying to Latecoere Americas region with a main focus on Canada and USA.
Minimum qualifications:
Minimum 10 years of practice in USA/Canada
Experience support industrial manufacturing (Aerospace preferred)
Skilled with international trade: export control/compliance
Qualifications:
- Excellent persuasion, negotiation, and judgement skills with speaking to C-Level stakeholders.
- Excellent interpersonal, relationship management, and analytical skills.
- Excellent critical thinking, business communication, and writing skills.
- Demonstrated ability to prepare and deliver presentations.
- Demonstrated ability to manage multiple concurrent projects or initiatives.
- Ability to work through technical and business details without losing focus on corporate goals and objectives.
- Ability to manage a dual reporting both at local level (dotted line) and at group level in France (reporting line).
