About the role
Telephone Aid Line Kingston (TALK) is a crisis, distress, befriending, and information phone line serving all members of the Kingston community. We are entirely volunteer-run, including all phone line volunteers, Executive Assembly positions, and Board of Directors. TALK is also a member of Distress and Crisis Ontario (DCO).
TALK’s Board of Directors holds a minimum tenure of one year, with a maximum of four. They meet with the Executive Director on a monthly basis. Meetings occur electronically over Zoom. In between meetings, the Executive Director provides e-mail updates on financial and organizational matters. Currently, TALK has four members on the Board of Directors with staggered tenures. We are currently seeking up to three additional Board members. The Board currently operates as a whole rather than in committees, with the Executive Director acting as chair. Required:
- Responsible, reliable, and professional disposition
- Able to maintain strict confidentiality regarding operations
- Currently residing in Canada
Specialty knowledge in one of the following fields is an asset:
- Finance
- Management
- Human Resources
- Crisis Work
- Legal
- Kingston, ON and/or surrounding communities
The following outlines the collective and individual responsibilities of a TALK Board of Directors member:
Collectively:
- Choose or alter the governance model of the board as applicable
- Ensure appropriate policies and structures are in place within TALK
- Fiscal responsibility, approve/monitor budgets and financial purchases
- Ensure full transparency between the board and executive/general assembly of TALK, as well as external agencies
- Focus on long term goals and planning for the organization, and plan for succession of the board
- Maintaining TALK’s charitable status with the Government of Canada
- The formulation of amendments to the Constitution and advisement of changes to the Policies and Procedures Document
- Ensuring TALK complies with the regulations set forth by the Government of Canada for charitable organizations
- Discussion and insight on disciplinary matters and miscellaneous aspects of TALK brought forth by the Executive Director
Individually:
- Act in the best interests of TALK and maintain confidentiality
- Understand your role and responsibilities
- Be familiar with the Bylaws and Policies/Procedures of TALK
- Avoid conflicts of interest and operate in the interest of the board before self-interest
- Be familiar with TALK’s financial activity and legal obligations
- Bring your skills, experience, and knowledge to provide insight into the operations of TALK in a diverse way
- Attend board meetings regularly and arrive prepared to discuss agenda topics
