Position Overview We are seeking an associate lawyer with 2-5 years of experience in corporate and commercial law. This position offers the ability to work alongside established practitioners who are committed to hiring and developing the best and brightest legal and business professionals. Founded by Jason Banack as HGA Law and initially operating as part of the HGA Group, the firm began with a corporate and commercial practice and expanded to include a litigation practice in 2024 when Mandi Deren joined the firm as a partner. Our Ideal Candidate ·Brings experience in corporate transactions, including mergers and acquisitions, divestitures, and corporate reorganizations. ·Excels at legal drafting, negotiation, and transaction management, with experience preparing and reviewing a wide range of transactional documents and agreements. ·Demonstrates strong analytical skills and a keen eye for legal due diligence, risk assessment, and practical problem-solving. ·Has experience supporting commercial and residential real estate transactions. ·Possesses a solid understanding of corporate law, governance, and regulatory compliance, including the Alberta Business Corporations Act and Canada Business Corporations Act. ·Is confident advising on commercial, corporate, and security agreements, including shareholder agreements, security documents, and corporate governance matters. ·Is technology-savvy, adaptable, and eager to embrace innovative tools and streamlined processes in a modern legal practice. · Able to communicate effectively with clients, opposing counsel, and other parties. · Willing to collaborate and work closely with senior lawyers to develop case strategies and progress matters forward. · A member in good standing of the Law Society of Alberta. · Called to the bar in 2025 or earlier.
