Your New Role As Senior Counsel, Global Corporate & Operations, you will report to the Deputy General Counsel and serve as a trusted advisor to senior business leaders across commercial, business development, strategy, treasury, sustainability, technology, innovation, and operational functions. This is a broad-based, business-facing role offering exposure to a diverse range of commercial, corporate, operational, and strategic matters. Key responsibilities will include: Advising on commodity purchase and sale transactions, commercial arrangements, and customer negotiations. Drafting and negotiating complex commercial, marketing, technology, software, SaaS, and procurement agreements. Supporting mergers and acquisitions, joint ventures, partnerships, divestitures, financing transactions, and other strategic initiatives. Providing legal guidance on exploration, project development, innovation, and commercialization opportunities. Advising on corporate governance, regulatory compliance, risk management, sustainability, and operational matters. Managing external counsel and contributing to legal department planning and budgeting activities. What You'll Need to Succeed To be considered for this opportunity, you will possess: A J.D. or LL.B. and membership in good standing with a Canadian Law Society. Approximately 7-10 years of post-call legal experience. Strong experience drafting and negotiating commercial agreements. Experience supporting corporate transactions, including M&A, joint ventures, partnerships, and other strategic initiatives. Experience gained either in-house or at a leading law firm. Excellent judgment, commercial acumen, and the ability to balance legal risk with business objectives. Experience within mining, natural resources, energy, infrastructure, forestry, or other asset-intensive industries will be considered a strong asset. Exposure to areas such as commodity sales, project development, technology agreements, corporate governance, or exploration agreements would also be beneficial. The successful candidate will be collaborative, adaptable, intellectually curious, and comfortable working through complex and evolving business challenges. Base Salary Annual Base Salary: $200,000 Pension Employer Pension Contribution: 8% of base salary$16,000 annually Employees can also make voluntary pension contributions of approximately 2% to 6%, with company matching varying based on age and tenure. Annual Incentive Plan (AIP) The role participates in a significant annual bonus program: Target Bonus: 60% of base salary Maximum Bonus: 108% of base salary Matching Share Program The company also offers an equity/share matching component: Standard Option: 6.5% Enhanced Option: 11.0% This posting is for a new vacancy with the organization.
